We use consumer price data for 81 European cities (in Germany, Austria, Finland, Italy, Spain, Portugal and Switzerland) to study the impact of the introduction of the euro on goods market integration. Employing both aggregated and disaggregated consumer price index (CPI) data we confirm previous results which showed that the distance between European cities explains a significant amount of the variation in the prices of similar goods in different locations. We also find that the variation of relative prices is much higher for two cities located in different countries than for two equidistant cities in the same country. Under the EMU, the elimination of nominal exchange rate volatility has largely reduced these border effects, but distance and border still matter for intra-European relative price volatility.
Die vorliegende Arbeit hat den Versuch gemacht, die den Ausschüssen in der Sozialversicherung, speziell im Bereich der gesetzlichen Unfallversicherung, zukommende zentrale Bedeutung aufzuzeigen. Viele wichtige Entscheidungen werden durch Ausschüsse getroffen, und zwar nicht nur durch besondere Ausschüsse LS.v. § 36 a SGB IV, sondern auch ganz maßgeblich durch Erledigungs- und Vorbereitungsausschüsse. Das Gesetz regelt Bildung und Tätigkeit von Ausschüssen bei den Sozialversicherungsträgern allerdings nur unvollständig. Abgesehen von der Vorschrift des § 36 a SGB IV enthält das SGB IV mit § 66 lediglich einige wenige Bestimmungen für den zahlenmäßig geringeren Teil der Ausschüsse, die Erledigungsausschüsse, die mit ihren Entscheidungen an die Stelle des jeweiligen Organs treten, während die Tätigkeit der Vorbereitungsausschüsse, die in der Praxis eine im doppelten Sinne "entscheidende" Rolle spielen, gesetzlich nicht geregelt ist. Die vom Schrifttum - soweit ersichtlich - nahezu einhellig vertretene Auffassung, die Tätigkeit von Vorbereitungsausschüssen unterliege keinerlei Bestimmungen, insbesondere nicht den für die Erledigungsausschüsse geltenden gesetzlichen Regelungen, ist abzulehnen. Die Praxis zeigt nämlich, daß die Vorbereitungsausschüsse im Zusammenwirken mit der hauptamtlichen Verwaltung einen maßgeblichen Teil der Arbeit für die Organe "erledigen", indem sie beschlußreife Vorlagen entwickeln, die dann in aller Regel von den Organen ohne jegliche bzw. ohne größere Diskussion und Änderungen sanktioniert werden, so daß die Gefahr besteht, daß sich die Organe selbst vielfach nur noch als Ratifikationsorgan oder - krasser ausgedrückt - als "Abstimmungsmaschinerie" verstehen, sie aber zumindest als solche angesehen werden müssen. Die gängige - in der Rechtslehre und in der Praxis anzutreffende - Auffassung, wonach die Tätigkeit von Vorbereitungsausschüssen quasi keinerlei Regelungen unterliegen soll, ist in ihrer Konsequenz aber umso unhaltbarer, als die Selbstverwaltungsorgane für ihre Arbeit demokratischer Legitimation bedürfen: ihre Entscheidungen müssen auf den Willen der Betroffenen, der Repräsentierten, zurückgeführt werden können. Die vorliegende Untersuchung hat aufgezeigt, daß die Organe umfassender demokratischer Legitimation bedürfen, was gleichermaßen für die Ausschüsse zu fordern ist. Der Gesetzgeber hat für die Erledigungsausschüsse Vorschriften (betreffend die Besetzung der Ausschüsse, die Öffentlichkeit von Ausschußsitzungen und - ansatzweise - die Festlegung übertragbarer Aufgaben) geschaffen, die im Grundsatz eine ausreichende Repräsentation des Willens der Betroffenen gewährleisten können. Für die Vorbereitungsausschüsse fehlt jegliche gesetzliche Regelung, so daß der Ruf nach dem Gesetzgeber naheläge. Andererseits sollten die Selbstverwaltungsträger im Hinblick auf das ihnen eingeräumte und ohnehin nur noch in Teilen verbliebene Selbstverwaltungsrecht möglichst geringen Einschränkungen - auch beim Einrichten und "Betreiben" von Ausschüssen - unterworfen werden, zumal die Ausschußarbeit wie auch die Zusammenarbeit zwischen Organen und Ausschüssen sowie der hauptamtlichen Verwaltung ohne größere Reibungen funktioniert. Damit stehen die Ausschüsse in einem Spannungsfeld von Selbstverwaltungsdemokratie und Verwaltungseffizienz. Die vorliegende Arbeit hat den Versuch gemacht, dieses Spannungsfeld aufzulösen. Die Erledigungsausschüsse unterliegen Schranken, die durch § 66 SGB IV gezogen werden. Die Regelungen des § 66 SGB IV bedürfen der Auslegung. Ergänzend können die überwiegend recht detaillierten kommunalverfassungsrechtlichen Regelungen bei der Bestimmung der Grenzen der Tätigkeit von Erledigungsausschüssen herangezogen werden - auch wenn die kommunalverfassungsrechtlichen Regelungen nicht einschränkungslos auf die Sozialversicherungsträger entsprechend angewendet werden können. Auf die Vorbereitungsausschüsse sind mangels gesetzlicher Regelungen einige der für Erledigungsausschüsse geltenden Vorschriften für sinngemäß anwendbar zu erklären. Im übrigen können auch bezüglich der Vorbereitungsausschüsse verschiedene kommunalverfassungsrechtliche Regelungen zur Bestimmung der Grenzen der Tätigkeit herangezogen werden. Insbesondere folgende wesentliche Feststellungen sind hinsichtlich der Arbeit von Ausschüssen in der gesetzlichen Unfallversicherung zu treffen: - Ein Ausschuß hat aus mindestens 4 Personen zu bestehen. Eine Ausschußgröße von 2 Personen bei gleichzeitiger Teilnahme einer bzw. mehrerer anderer Personen (z.B. Geschäftsführer/Bedienstete des Versicherungsträgers) an den Sitzungen reicht nicht aus. - Vorbereitungsausschüsse können nur aus den Reihen der Organmitglieder bzw. deren Stellvertretern besetzt werden, d.h. für organfremde Personen ist als Ausschußmitglieder kein Raum. - Vorbereitungsausschüsse müssen gruppenparitätisch zusammengesetzt sein. - Gemeinsame Ausschüsse von Vorstand und Vertreterversammlung sind unzulässig, ebenso getrennte Ausschüsse beider Organe, die gemeinsam tagen und gemeinsame Beschlüsse fassen. Zulässig sind lediglich getrennte Ausschüsse, die gemeinsam tagen, aber getrennte Beschlüsse fassen. - Die Vorbereitungsausschüsse der Vertreterversammlung haben - wie auch deren Erledigungsausschüsse - grundsätzlich öffentlich zu tagen. - Den Vorbereitungsausschüssen können Aufgaben jeglicher Art zur Vorberatung übertragen werden. - Das jeweilige Mutterorgan hat ein Rückhol-, Nachprüfungs- und Weisungsrecht gegenüber den Ausschüssen. - Die Information der Organmitglieder und ihrer Stellvertreter muß möglichst umfassend sein, um einerseits eine reibungslose Arbeit zu gewährleisten und andererseits die Defizite im Bereich demokratischer Legitimation auszugleichen. Hierzu gehört insbesondere die Übersendung der Sitzungsprotokolle auch an die Stellvertreter der Organmitglieder. Diese Aufzählung von an die Ausschußarbeit zu stellenden Anforderungen macht deutlich, daß Ausschußarbeit - und in besonderem Maße die Tätigkeit von Vorbereitungsausschüssen - nicht einfach als Tätigkeit nachgeordneter Gremien abgetan werden kann, die etwa im Rahmen des Selbstverwaltungsrechts weitgehend frei gestaltet werden könnte. Insbesondere das Erfordemis demokratischer Legitimation verlangt das Einhalten bestimmter Spielregeln, wobei der Tätigkeit von Vorbereitungsausschüssen in diesem Zusammenhang wegen fehlender gesetzlicher Regelungen besondere Bedeutung zukommt und diesen Ausschüssen damit auch besondere Beachtung zu schenken ist. Im Sinne der Selbsterhaltung der Selbstverwaltung bedarf es daher einer Einschränkung der Selbstgestaltung, deren Grenzen die vorliegende Arbeit aufzuzeigen versucht hat.
Using a unique, hand-collected database of all venture-backed firms listed on Germany´s Neuer Markt, we analyze the history of venture capital financing of these firms before the IPO and the behavior of venture capitalists at the IPO. We can detect significant differences in the behavior and characteristics of German vs. foreign venture capital firms. The discrepancy in the investment and divestment strategies may be explained by the grandstanding phenomenon, the value-added hypothesis and certification issues. German venture capitalists are typically younger and smaller than their counterparts from abroad. They syndicate less. The sectoral structure of their portfolios differs from that of foreign venture capital firms. We also find that German venture capitalists typically take companies with lower offering volumes on the market. They usually finance firms in a later stage, carry through fewer investment rounds and take their portfolio firms public earlier. In companies where a German firm is the lead venture capitalist, the fraction of equity held by the group of venture capitalists is lower, their selling intensity at the IPO is higher and the committed lock-up period is longer.
The German financial system is the archetype of a bank-dominated system. This implies that organized equity markets are, in some sense, underdeveloped. The purpose of this paper is, first, to describe the German equity markets and, second, to analyze whether it is underdeveloped in any meaningful sense. In the descriptive part we provide a detailed account of the microstructure of the German equity markets, putting special emphasis on recent developments. When comparing the German market with its peers, we find that it is indeed underdeveloped with respect to market capitalization. In terms of liquidity, on the other hand, the German equity market is not generally underdeveloped. It does, however, lack a liquid market for block trading. Klassifikation: G 51 . What constitutes a financial system in general and the German financial system in particular?

This paper is one of the two introductory chapters of the book "The German Financial System". It first discusses two issues that have a general bearing on the entire book, and then provides a broad overview of the German financial system. The first general issue is that of clarifying what we mean by the key term "financial system" and, based on this definition, of showing why the financial system of a country is important and what it might be important for. Obviously, a definition of its subject matter and an explanation of its importance are required at the outset of any book. As we will explain in Section II, we use the term "financial system" in a broad sense which sets it clearly apart from the narrower concept of the "financial sector". The second general issue is that of how financial systems are described and analysed. Obviously, the definition of the object of analysis and the method by which the object is to be analysed are closely related to one another. The remainder of the paper provides a general overview of the German financial system. In addition, it is intended to provide a first indication of how the elements of the German financial system are related to each other, and thus to support our claim from Section II that there is indeed some merit in emphasising the systemic features of financial systems in general and of the German financial system in particular. The chapter concludes by briefly comparing the general characteristics of the German financial system with those of the financial systems of other advanced industrial countries, and taking a brief look at recent developments which might undermine the "systemic" character of the German financial system.
A financial system can only perform its function of channelling funds from savers to investors if it offers sufficient assurance to the providers of the funds that they will reap the rewards which have been promised to them. To the extent that this assurance is not provided by contracts alone, potential financiers will want to monitor and influence managerial decisions. This is why corporate governance is an essential part of any financial system. It is almost obvious that providers of equity have a genuine interest in the functioning of corporate governance. However, corporate governance encompasses more than investor protection. Similar considerations also apply to other stakeholders who invest their resources in a firm and whose expectations of later receiving an appropriate return on their investment also depend on decisions at the level of the individual firm which would be extremely difficult to anticipate and prescribe in a set of complete contingent contracts. Lenders, especially long-term lenders, are one such group of stakeholders who may also want to play a role in corporate governance; employees, especially those with high skill levels and firm-specific knowledge, are another. The German corporate governance system is different from that of the Anglo-Saxon countries because it foresees the possibility, and even the necessity, to integrate lenders and employees in the governance of large corporations. The German corporate governance system is generally regarded as the standard example of an insider-controlled and stakeholder-oriented system. Moreover, only a few years ago it was a consistent system in the sense of being composed of complementary elements which fit together well. The first objective of this paper is to show why and in which respect these characterisations were once appropriate. However, the past decade has seen a wave of developments in the German corporate governance system, which make it worthwhile and indeed necessary to investigate whether German corporate governance has recently changed in a fundamental way. More specifically one can ask which elements and features of German corporate governance have in fact changed, why they have changed and whether those changes which did occur constitute a structural change which would have converted the old insider-controlled system into an outsider-controlled and shareholder-oriented system and/or would have deprived it of its former consistency. It is the second purpose of this paper to answer these questions.
The paper describes the legal and economic environment of mergers and acquisitions in Germany and explores barriers to obtaining and executing corporate control. Various cases are used to demonstrate that resistance by different stakeholders including minority shareholders, organized labour and the government may present powerful obstacles to takeovers in Germany. In spite of the overall convergence of European takeover and securities trading laws, Germany still shows many peculiarities that make its market for corporate control distinct from other countries. Concentrated share ownership, cross shareholdings and pyramidal ownership structures are frequent barriers to acquiring majority stakes. Codetermination laws, the supervisory board structure and supermajority requirements for important corporate decisions limit the execution of control by majority shareholders. Bidders that disregard the German preference for consensual solutions and the specific balance of powers will risk their takeover attempt be frustrated by opposing influence groups. Da Frankreich und dessen jüngste Geschichte für Börne mehr bedeuteten als ein Motiv seines schriftstellerischen Interesses und seiner Lebenswelt unter anderen, weil ihm sowohl Frankreich wie Deutschland, ob ausgesprochen oder latent, Welt und Gegenwelt waren, in denen sich Existenz wie Denken abspielten und abspiegelten, kann in diesem Rahmen nur auf wenige Facetten seines Schreibens eingegangen werden. Es wird sich daher im Wesentlichen um die Rolle handeln, die Frankreich und besonders Paris für seine Arbeit als Journalist und als Zeithistoriker
wie für den Ansatz seines geschichtsphilosophischen Denkens überhaupt gespielt haben.
In dem Entwurf einer European Strategy on Invasive Alien Species T-PVS (2002) 8 werden verstärkte Forschungsaktivitäten der Mitgliedstaaten angeregt, die nicht nur auf den biologischen Bereich oder Bekämpfung invasiver Arten beschränkt bleiben, sondern auch die Bewertung der Auswirkungen auf Gesundheitswesen und Volkswirtschaft untersuchen sollen. Derartige Studien wurden bisher nur für die Vereinigten Staaten von Amerika oder mit eher regionalen Charakter durchgeführt. Aus diesem Grunde wurden 20 Tiere und Pflanzen aus verschiedenen Problemgebieten (Gesundheitsgefährdende Arten, Schäden in Forst-, Land-, und Fischereiwirtschaft, im kommunalen Bereich, an aquatischen und terrestrischen Verkehrswegen sowie Kosten von Arten, die einheimische Spezies gefährden oder in der Empfehlung 77 der Berner Konvention aufgeführt sind) ausgewählt und beispielhaft für das Gebiet Deutschlands bearbeitet. Die entstehenden Kosten wurden in drei Kategorien aufgeschlüsselt: a) direkte ökonomische Schäden, beispielsweise durch Vorratsschädlinge, b) ökologische Schäden, verursacht durch Pflege und Schutz gefährdeter heimischer Arten, Biozönosen oder Ökosysteme und c) Kosten für Maßnahmen zur Bekämpfung invasiver Arten. Es zeigte sich, dass auf Grund der Datenlage sowie der unterschiedlichen Biologie und Ökologie der invasiven Arten jeweils individuelle Ansätze notwendig waren. Die hier ermittelten Kosten unterscheiden sich stark von Art zu Art. Nicht alle untersuchten Arten verursachen ökonomische Schäden. Eine differenzierte Betrachtung von Neobiota ist nach dem Prinzip der Einzelfallbewertung erforderlich. Die Monetisierung von ökologischen Schäden gelang hierbei nur in wenigen Fällen. Weitergehende, mehrjährige Studien sollten willingness to pay-Analysen einbeziehen, um offen gebliebene Fragen zu beantworten.
The European Strategy on Invasive Alien Species T-PWS(2002) 8 mandates intensified research by member nations on invasive species. This research will not be restricted solely to the biology and remediation of invasive species, but will also evaluate their adverse health effects and economic impact. Previous studies of these issues have only been carried out in the Unites States of America, or in a limited, regional manner. Consequently, 20 plant and animal species from various problem areas (species which pose a threat to public health; losses to agriculture, fisheries, and forestry; damage to public roads and waterways; costs associated with the protection of native species threatened by non-native species as mandated by Recommendation 77 of the Bern Convention were assessed in Germany nation-wide. The accruing costs were sorted into 3 categories: a) direct economic losses, such as those caused by destructive pest species; b) ecological costs, in the form of extra care and protection of native taxa, biotopes, or ecosystems threatened by invasive species; c) costs of measures to combat invasive species. Because of the nature of available data, as well as the different biology and ecology of the invasive species, each had to be treated individually, and the associated costs vary greatly from species to species. Moreover, not all of the species investigated cause economic losses. Accordingly, a nuanced approach to alien species is essential. Cost assessment of losses deriving from ecological damage was only possible in a few cases. Ongoing, multi-year studies incorporating cost/benefit analysis will be necessary to resolve remaining issues.
Past research suggests that international real estate markets show return characteristics and interrelationships with other asset classes, which probably qualify them as an interesting component of national and international asset allocation decisions. However, the special characteristics of real estate assets are quite distinct from that of financial assets, such as stocks and bonds. This is also the case for real estate return distributions. Therefore, the proper integration of real estate markets into asset allocation decisions requires profound understanding of real estate returns' distributional characteristics .
Because of the particular characteristics of real estate, representing real estate markets through reliable a time-series is a complex task. Consequently, reliable real estate indices with a sufficiently long history in major international real estate markets are only scarcely available. Most of the research that has been done on real estate returns was done for the U.K. and U.S., where eligible indices exist. On the other hand, in other important real estate markets, such as Germany, either little or no research has been perfoimed.
In this analysis, the methodology of Maurer, Sebastian and Stephan (2000) for indirectly deriving an appraisal-based index for the German commercial real estate market will be applied. This approach is solely based on publicly available data from German open-ended real estate investment trusts. It could also provide a solution to deriving a reliable real estate time-series for other markets.
We will extend previous analyses for the U.K. and U.S. to provide additional fundamental insights into the return characteristics of the German commercial real estate market. Despite univariate considerations, the main focus is the interrelationships between various international real estate markets, as well as between those respective markets and the international stock and bond markets.
Open-end real estate funds (so called “Offene Immobilienfonds”) play a major role in the German market for securitised real estate investments. Such funds are pools of money from many investors, which are invested in real estate by special investment management companies. This study seeks to identify the risk and return profile of this investment vehicle (before and after income taxes), to compare them with those of other major asset classes, and to provide implications for their appropriate role in a mixed-asset portfolio. Addition-ally, an overview of the institutional architecture and role of German open-end real estate funds is given. Empirical evidence suggests that the financial characteristics of open-end real estate funds are in many respects similar to those reported for direct real estate invest-ments. Accordingly, German open-end real estate funds qualify for medium and long-term investment horizons, rather than for shorter holding periods.
This chapter focuses on institutional investors in the German financial markets. Institutional investors are specialized financial intermediaries who collect and manage funds on behalf of small investors toward specific objectives in terms of risk, return and maturity. The major types of institutional investors in Germany are insurance companies and investment funds. We will examine the nature of their businesses, their size and role in the financial sector, the size and the composition of the assets under their management, aspects of financ ial regulation, and features of their asset-liability-management.
Kurz nach dem Inkrafttreten des Vierten Finanzmarktförderungsgesetzes im Juni letzten Jahres sind schon die nächsten Reformüberlegungen in Gang gekommen. Der 64. Deutsche Juristentag im September beschäftigte sich u.a. mit der Frage, ob im Interesse des Anlegerschutzes und zur Förderung des Finanzplatzes Deutschland Kurz nach dem Inkrafttreten des Vierten Finanzmarktförderungsgesetzes im Juni letzten Jahres sind schon die nächsten Reformüberlegungen in Gang gekommen. Der 64. Deutsche Juristentag im September beschäftigte sich u.a. mit der Frage, ob im Interesse des Anlegerschutzes und zur Förderung des Finanzplatzes Deutschland das Kapitalmarkt- und Börsenrecht neu zu regeln sei. Nun liegt zudem seit November 2002 ein Entwurf der Europäischen Kommission für eine neue Wertpapierdienstleistungsrichtlinie auf dem Tisch. Die verschiedenen Reformüberlegungen bzw. -entwürfe sind in jedem Fall zu begrüßen. Der jüngste Akt unseres nationalen Gesetzgebers wird wohl zu Recht lediglich als Schritt in die richtige Richtung, nicht aber als hinreichende Lösung der aktuellen Probleme in diesem Bereich gesehen. Der folgende Aufsatz untersucht, welche Nachteile sich aus dem zunehmenden außerbörslichen Wertpapierhandel für den Finanzplatz ergeben und welche regulatorischen Antworten sich zu deren Vermeidung anbieten.
This chapter analyzes the role of financial accounting in the German financial system. It starts from the common perception that German accounting is rather "uninformative". This characterization is appropriate from the perspective of an arm´s length or outside investor and when confined to the financial statements per se. But it is no longer accurate when a broader perspective is adopted. The German accounting system exhibits several arrangements that privately communicate information to insiders, notably the supervisory board. Due to these features, the key financing and contracting parties seem reasonably well informed. The same cannot be said about outside investors relying primarily on public disclosure. A descriptive analysis of the main elements of the Germany system and a survey of extant empirical accounting research generally support these arguments.

Tragfähig konnte die politische Instrumentalisierung des Rheins allerdings nur deshalb sein, weil sie auf einer seit der Jahrhundertwende schnell angewachsenen und von breitesten Bevölkerungsschichten in Deutschland mitgetragenen Tradition beruhte. Solche Traditionen zu
stiften und damit überhaupt erst so etwas wie eine nationale deutsche Kultur, in Absetzung und Überbietung von anderen, bereits bestehenden Nationalkulturen wie etwa der französischen zu begründen, war eines der Hauptanliegen der romantischen Bewegung. Insofern ist selbst den
Gründervätern des Rheinmythos zumindest indirekt der deutsch-französische Gegensatz als Antrieb nicht fremd.
We present an analysis of VaR forecasts and P&L-series of all 13 German banks that used internal models for regulatory purposes in the year 2001. To this end, we introduce the notion of well-behaved forecast systems. Furthermore, we provide a series of statistical tools to perform our analyses. The results shed light on the forecast quality of VaR models of the individual banks, the regulator's portfolio as a whole, and the main ingredients of the computation of the regulatory capital required by the Basel rules.

So wurden besonnene und fortschrittlich eingestellte Franzosen und Deutsche nie müde, sich für Gedankenaustausch und Vermittlung, für Freundschaft und Verständigung, kurz für Ideentransfer einzusetzen - um damit den kreativen Eliten beider Länder Inspirationsquellen offen zu halten. Den Herausgebern dieses Jahrbuchs will scheinen, diese gemäfligten, die Rheingrenze ständig überschreitenden Gegenstimmen hätten wie ein vernunftbestimmtes Korrektiv zur lauten Staatenpolitik gewirkt. Eine Epoche wie der Vormärz bietet nun die große Chance, diese These einmal in einer kurzen, aber scharf konturierten Phase bilateraler Beziehungen der Probe aufs Exempel zu unterwerfen. Es erschien anregend, die verschiedenen Wirkungsweisen dieses Korrektivs in einer Zeit näher zu untersuchen, in der sich die herrschenden Kreise auf der einen Seite durch Gallophobie "auszeichneten", während ihnen auf der
anderen Seite - rares Phänomen - eine durch nichts getrübte Germanophilie gegenüberstand.

Nie zuvor und nie danach haben sich französische und deutsche Kultur so tiefgreifend beeinflusst und durchdrungen wie in der ersten Hälfte des 19. Jahrhunderts. Wer heute von einer deutsch-französischen Synthese spricht, sollte auf die Zeit von Julimonarchie und Vormärz zurückgehen: Dort konnte sich diese Synthese in bedeutenden Ansätzen verwirklichen.
Die Anordnung der in diesem Jahrbuch versammelten Beiträge folgt drei thematischen Schwerpunkten: dem literarischen, dem künstlerischen und dem philosophischen Transfer.

Nichts zeichnet den interkulturellen Transfer im Vormärz so aus wie der Versuch, die fortschrittlichsten Eliten Deutschlands und Frankreichs enger als je zu verknüpfen. Nie zuvor, und wohl nie danach, haben sich deutsche und französische Dichter und Denker so zahlreich für die geistige Entwicklung ihres Nachbarlandes begeistert - bereit, alles national Trennende zurück- und alles kulturell Verbindende voranzustellen. Mehr noch: Nie zuvor und niemals später haben sich führende Schriftsteller und Intellektuelle beider Länder derart intensiv damit beschäftigt, die Grundlagen einer informellen, geistigen Allianz zu erarbeiten. Man nenne eine Epoche, in der die Verwirklichung dieser wahrhaft europäischen Idee so greifbar nah war wie etwa 1844!
This paper investigates the magnitude and the main determinants of share price reactions to buy-back announcements of German corporations. Based on a sample of 224 announcements from the period May 1998 to April 2003 we find average cumulative abnormal returns around -7.5% for the thirty days preceding the announcement and around +7.0 % for the ten days following the announcement. We regress postannouncement abnormal returns with multiple firm characteristics and provide evidence which supports the undervaluation signaling hypothesis but not the excess cash hypothesis. In extending prior empirical work, we also analyze price effects from an initial statement by management that it intends to seek shareholder approval for a buy-back plan. Observed cumulative abnormal returns on this initial date are in excess of 5% implying a total average price effect between 12% and 15% from implementing a buy-back plan. We conjecture that the German regulatory environment is the main reason why market variations to buy-back announcements are much stronger in Germany than in other countries and conclude that initial statements by managers to seek shareholders’ approval for a buy-back plan should also be subject to legal ad-hoc disclosure requirements. Whilst conventio nal commercial banking is clearly in decline in the US, it is far from clear whether the dominance of banks in the German financial system has been significantly eroded over the last decades. We interpret the immense stability in intermediation ratios and financing patterns of firms between 1970 and 2000 as strong evidence for our view that the way in which and the extent to which German banks fulfil the central functions for the financial system are still consistent with the overall logic of the German financial system. In spite of the current dire business environment for financial intermediaries we do not expect the German financial system and its banking industry as an integral part of this system to converge to the institutional arrangements typical for a market-oriented financial system. Am 30. Juli 2002 hat der US-amerikanische Präsident George Bush den Sarbanes-Oxley Act of 2002 unterzeichnet. Es handelt sich dabei um ein Artikelgesetz, das vor allem Änderungen im Securities and Exchange Act of 1934 ( Exchange Act ) vorsieht. Das Gesetz bezweckt nach der dem Gesetzestext vorangestellten Begründung den Schutz von Anlegern durch genauere und verlässlichere wertpapierrechtliche Publizitätspflichten. Der Gesetzgeber möchte sicherstellen, dass Unternehmen richtige und verlässliche Angaben machen, wenn sie periodisch bei der USamerikanischen Wertpapieraufsichtsbehörde SEC (Securities and Exchange Commission) einzureichende Berichte oder Ad-hoc Mitteilungen veröffentlichen.
Under a new Basel capital accord, bank regulators might use quantitative measures when evaluating the eligibility of internal credit rating systems for the internal ratings based approach. Based on data from Deutsche Bundesbank and using a simulation approach, we find that it is possible to identify strongly inferior rating systems out-of time based on statistics that measure either the quality of ranking borrowers from good to bad, or the quality of individual default probability forecasts. Banks do not significantly improve system quality if they use credit scores instead of ratings, or logistic regression default probability estimates instead of historical data. Banks that are not able to discriminate between high- and low-risk borrowers increase their average capital requirements due to the concavity of the capital requirements function.
We present a survey on the role of initial public offerings (Epos) and venture capital (VC) in Germany after the Second World War. Between 1945 and 1983 IPOs hardly played a role at all and only a minor role thereafter. In addition, companies that chose an IPO were much older and larger than the average companies going public for the first time in the US or the UK. The level of IPO underpricing in Germany, in contrast, has not been fundamentally different from that in other countries. The picture for venture capital financing is not much different from that provided by IPOs in Germany. For a long time venture capital financing was hardly significant, particularly as a source of early stage financing. The unprecedented boom on the Neuer Markt between 1997 and 2000, when many small venture capital financed firms entered the market, provides a striking contrast to the preceding era. However, by US standards, the levels of both IPO and venture capital activities remained rather low even in this boom phase. The extent to which recent developments will have a lasting impact on the financing of German firms, the level of IPO activity, and venture capital financing, remains to be seen. At the time of writing, activity has come to a near stand still and the Neuer Markt has just been dissolved. The low number of IPOs and the fairly low volume of VC financing in Germany before the introduction of the Neuer Markt are a striking and much debated phenomenon. Understanding the reasons for these apparent peculiarities is vital to understanding the German financial system. The potential explanations that have been put forward range from differentces in mentality to legal and institutional impediments and the availability of alternative sources of financing. Moreover the recent literature discusses how interest groups may have benefited and influenced the situation. This is combined with the option to cover this short position at the issue price. We present empirical evidence on the value of these arrangements to the underwriters of initial public offerings on the Neuer Markt. The over-allotment arrangement is regarded as a portfolio of a long call option and a short position in a forward contract on the stock, which is different from other approaches presented in the literature.
Given the economically substantial values for these option- like claims we try to identify benefits to previous shareholders or new investors when the company is using this instrument in the process of going public. Although we carefully control for potential endogeneity problems, we find virtually no evidence for a reduction in underpricing for firms using over-allotment arrangements. Furthermore, we do not find evidence for more pronounced price stabilization activities or better aftermarket performance for firms granting an over-allotment arrangement to the underwriting banks.

This paper analyzes a comprehensive data set of 160 non venture-backed, 79 venture-backed and 61 bridge financed companies going public at Germany´s Neuer Markt between March 1997 and March 2002. I examine whether these three types of issues differ with regard to issuer characteristics, balance sheet data or offering characteristics. Moreover, this empirical study contributes to the underpricing literature by focusing on the complementary or rather competing role of venture capitalists and underwriters in certifying the quality of a company when going public. Companies backed by a prestigious venture capitalist and/or underwritten by a top bank are expected to show less underpricing at the initial public offering (IPO) due to a reduced ex-ante uncertainty. This analysis provides evidence to the contrary: VC-backed IPOs appear to be more underpriced than non VC-backed IPOs.
In Germany a public discussion on the "power of banks" has been going on for decades now with power having at least two meanings. On the one hand it is the power of banks to control public corporations through direct shareholdings or the exercise of proxy votes - this is the power of banks in corporate control. On the other hand it is market power - due to imperfect competition in markets for financial services - that banks exercise vis-à-vis their loan and deposit customers. In the past, bank regulation has often been blamed to undermine competition and the working of market forces in the financial industry for the sake of soundness and stability of financial services firms. This chapter tries to shed some light on the historical development and current state of bank regulation in Germany. In so doing it tries to embed the analysis of bank regulation into a more general industrial organisation framework. For every regulated industry, competition and regulation are deeply interrelated as most regulatory institutions - even if they do not explicitly address the competitiveness of the market - either affect market structure or conduct. This paper tries to uncover some of the specific relationships between monetary policy, government interference and bank regulation on the one hand and bank market structure and economic performance on the other. In so doing we hope to point to several areas for fruitful research in the future. While our focus is on Germany, some of the questions that we raise and some of our insights might also be applicable to banking systems elsewhere. Einschlägige deutsche Lexika widmen ihr keine Zeile, und ihr Name wird nur in älteren französischen Nachschlagewerken überliefert, die allerdings die wohl unvermeidlichen Lücken und Fehler aufweisen. Die trockenen Fakten deuten ihre Verdienste kaum an, und die Tatsache, dass sie in Frankreich posthum zu
einer Steadyseller-Autorin wurde, zwar nicht mit eigenen Werken, sondern mit Übersetzungen, ist nicht zu erkennen.
Der Versuch, dieser Randfigur Relief zu verleihen, muss infolge mangelnder Vorarbeiten und der wenigen entdeckten Quellen ein Unterfangen bleiben, das vorerst kein erschöpfendes Ergebnis zeitigen kann, eher ein Provisorium, das vielleicht zu weiterer Forschung anreizt.
Die Geschichte der französischen Philosophie im 19. Jahrhundert beginnt als akademische Fachrichtung mit Victor Cousin, der weit mehr als seine blassen Vorgänger Laromiguière oder Royer-Collard die akademische Disziplin geprägt hat. Cousin stellte als offizieller Philosoph
der Julimonarchie, als Minister und als Vorstand des Ausschusses zur Auswahl der Gymnasiallehrer eine Art Galionsfigur der Geisteswissenschaften dar, und hatte einen entscheidenden Einfluss sowohl auf die Personalpolitik wie auf die Definition der Lehr- und Forschungsgegenstände. Er bekannte sich zu einer als Eklektizismus umschriebenen
Doktrin, die einerseits die Bewahrung der gegebenen Ordnung der Dinge auch in religiöser Hinsicht anstrebte, andrerseits die Philosophie von jeder Form religiösen Bekenntnisses emanzipierte und gewissermaßen den neutralen Geist der späteren "Laïcité" ankündigte. Das sogenannte
Regiment von Victor Cousin, d.h. die Philosophielehrer, deren Ernennung und Beförderung von seinem Gutdünken abhing, konnte sich auf seine Rückendeckung verlassen, wenn sie in Konflikt zu der religiösen Obrigkeit gerieten. Andrerseits mussten sie sich wie die Vertreter einer einzigen Doktrin, seiner Doktrin verhalten. Nun findet Cousins Doktrin ihre Wurzeln wenn nicht in der deutschen Philosophie - Heine bemerkte ironisch, dass Cousins Unkenntnis des Deutschen ihn gegen jeden
Verdacht philosophischer Deutschtümelei schützte -, so wenigstens in einem privilegierten Deutschlandbezug.
Some of the most widely expressed myths about the German financial system are concerned with the close ties and intensive interaction between banks and firms, often described as Hausbank relationships. Links between banks and firms include direct shareholdings, board representation, and proxy voting and are particularly significant for corporate governance. Allegedly, these relationships promote investment and improve the performance of firms. Furthermore, German universal banks are believed to play a special role as large and informed monitoring investors (shareholders). However, for the very same reasons, German universal banks are frequently accused of abusing their influence on firms by exploiting rents and sustaining the entrenchment of firms against efficient transfers of firm control. In this paper, we review recent empirical evidence regarding the special role of banks for the corporate governance of German firms. We differentiate between large exchangelisted firms and small and medium sized companies throughout. With respect to the role of banks as monitoring investors, the evidence does not unanimously support a special role of banks for large firms. Only one study finds that banks´ control of management goes beyond what nonbank shareholders achieve. Proxyvoting rights apparently do not provide a significant means for banks to exert management control. Most of the recent evidence regarding small firms suggests that a Hausbank relationship can indeed be beneficial. Hausbanks are more willing to sustain financing when borrower quality deteriorates, and they invest more often than arm´s length banks in workouts if borrowers face financial distress.
Intangible assets as goodwill, licenses, research and development or customer relations become in high technology and service orientated economies more and more important. But comparing the book values of listed companies and their market capitalization the financial reports seems to fail the information needs of market participants regarding the estimate of the proper firm value. Moreover, with the introduction of Anglo-American accounting systems in Europe and Asia we can observe even in the accounts of companies sited in the same jurisdiction diverging accounting practices for intangible assets caused by different accounting standards. To assess the relevance of intangible assets in Japanese and German accounts of listed companies we therefore measure certain balance sheet and profit and loss relations according to goodwill and self-developed software. We compare and analyze valuation rules for goodwill and software costs according to German GAAP, Japanese GAAP, US GAAP and IAS to determine the possible impact of diverging rules in the comparability of the accounts. Our results show that the comparability of the accounts is impaired because of different accounting practices. The recognition and valuation of goodwill and self-developed software varies significantly according to the accounting regime applied. However, for the recognition of self-developed software, the effect on the average impact on asset coefficients or profit is not that high. Moreover, an industry bias can only be found for the financial industry. In contrast, for goodwill accounting we found major differences especially between German and Japanese Blue Chips. The introduction of the new goodwill impairment only approach and the prohibition of the pooling method may have a major impact especially for Japanese companies’ accounts.
Seit den ersten Strafrechtsreformgesetzen von 1969 und 1970 sind in den letzten Jahren wieder Änderungen des Sanktionenrechts vorgenommen worden, und seit einiger Zeit sind weitere im Gespräch. Dazu zählt auch das Fahrverbot als alternative Hauptstrafe. .... Die Untersuchung beginnt (Teil A) mit der Darstellung und Erläuterung des Schuldprinzips und des Grundsatzes der schuldangemessenen Strafe, der in § 46 Absatz 1 StGB Ausdruck gefunden hat und auf dem Rechtsstaatsprinzip basiert. 13 Dabei werden die Aussagen "keine Strafe ohne Schuld" und "jede Strafe nur im Ausmaß der Schuld" deutlich hervorgehoben und ausgelegt und neben die Legitimationsgrundsätze des Strafens gestellt. Vor dem Hintergrund dieser Darlegung der Grundsätze von Schuld und Strafe wird die Bedeutung der "Schuld als pragmatisches Konstrukt der Begrenzung des Strafrechts" aufgezeigt.14 Dieses Konstrukt bildet die Ausgangsbasis für die Beschreibung und Erläuterung der verschiedenen Schuldbegriffe und für deren unterschiedliche Ansatzpunkte und Ausgestaltungen. Es wird mit Hilfe der genauen Betrachtung dieser Begriffe die Frage beantwortet, wie die Schuld inhaltlich gestaltet sein muß, um die staatliche Strafe und das Strafrecht zu begrenzen. Der zweite Hauptteil der Untersuchung (Teil B) wird eingeleitet mit der Metafrage nach den kriminalpolitischen Hintergranden fOr die Forderung nach neuen Alternativsanktionen. Hierbei wird auch Bezug genommen auf die gemeinnützige Arbeit und den elektronischen Hausarrest als alternative Hauptstrafen. Im Anschluß an diese Betrachtung wird das Fahrverbot als Hauptstrafe aufseine Fahigkeit hin untersucht, Wirksamkeit zu entfalten. Ferner wird umfassend der Frage nachgegangen, ob das Fahrverbot eine schuldangemessene Strafe darstellen und im Vergleich zu der zu ersetzenden Geldstrafe und der Freiheitsstrafe verfassungsrechtlichen Prinzipien gerecht werden kann. Bei dieser Prüfung, ob die neue Sanktionsalternative verfassungsgemaß ist, wird im Hinblick auf den 'das Strafrecht begrenzenden Schuldbegriff erörtert, inwiefern die Verhangung eines Fahrverbotes die von diesem gezogenen Grenzen tatsachlich einhalten kann. Darüber hinaus wird erörtert, wie es sich mit verfassungsrechtlichen Grundsatzen vertragt, wenn man, wie die derzeitige Justizministerin Däubler-Gmelin, eine Sanktion im Bereich der besonderen Strafempfindlichkeit des Bürgers ansiedeln möchte. Im dritten und letzten Teil der Arbeit (Teil C) werden die im zweiten Teil herausgearbeiteten Ergebnisse im Hinblick auf die Untersuchung eines vom Fahrzeugführen unabhängigen Fahrverbots als alternative Hauptstrafe zusammenfassend aufgeführt. Danach werden diese GeSichtspunkte auf die verschiedenen, im ersten Teil der Arbeit aufgeführten, Straftheorien projiziert. Dabei wird erörtert, ob ein Fahrverbot ohne bestehende Zusammenhangstat den Zielen und Zwecken der einzelnen Straftheorien gerecht werden kann.
Regulierung von Hedge Fonds in Deutschland : Bestandsaufnahme, praktische Erkenntnisse und Ausblick

Die alternative Kapitalanlage über Hedge Fonds gewinnt in Deutschland zunehmend an Bedeutung. In der jüngsten Vergangenheit wurde dieses Thema daher auch in der rechtswissenschaftlichen Literatur aufgegriffen, was zu mehr Transparenz geführt hat. Allerdings ist das deutsche Investmentrecht und insbesondere der Spezialbereich "Hedge Fonds" nach wie vor eine Praktikerdomäne. Deshalb soll im Folgenden zunächst eine Bestandaufnahme erfolgen. Darüber hinaus werden aktuelle Entwicklungen beschrieben. Dabei lassen die Verfasser ihre praktischen Erkenntnisse einfließen. Vor diesem Hintergrund wird anschließend die vom Gesetzgeber für Anfang 2004 geplante Hedge Fonds-Regulierung gewürdigt.
Das Firmenkundensegment und die Präsenz auf den internationalen Märkten für gewerblichen Hypothekarkredit und der Finanzierung öffentlicher Haushalte gewinnen für die deutschen Hypothekenbanken bis zum Jahr 2007 erheblich an Bedeutung, so das Ergebnis eines Forschungsprojekts der Goethe-Universität Frankfurt. Die Immobilienfinanziers werden ihre Geschäftsbeziehungen zu Unternehmen in den nächsten fünf Jahren sowohl qualitativ als auch räumlich ausbauen. Real Estate Investment Banking und Expansion ins Ausland stehen auf der strategischen Agenda der Hypothekenbanken ganz oben.
Taking shareholder protection seriously? : Corporate governance in the United States and Germany

The paper undertakes a comparative study of the set of laws affecting corporate governance in the United States and Germany, and an evaluation of their design if one assumes that their objective were the protection of the interests of minority outside shareholders. The rationale for such an objective is reviewed, in terms of agency cost theory, and then the institutions that serve to bound agency costs are examined and critiqued. In particular, there is discussion of the applicable legal rules in each country, the role of the board of directors, the functioning of the market for corporate control, and (briefly) the use of incentive compensation. The paper concludes with the authors views on what taking shareholder protection seriously, in each country s legal system, would require.
Das Handbuch der historischen Buchbestände in Österreich bietet eine Gesamtübersicht über die historischen Buchbestände in den Bibliotheken und Sammlungen Österreichs. Es ist regional gegliedert. Die ersten beiden Bände umfassen das Bundesland Wien. Sie enthalten einen historischen Überblick über die Wiener Bibliotheken und ein eigenes Register. Die weiteren Bände umfassen die Bundesländer Burgenland, Kärnten, Niederösterreich, Oberösterreich, Salzburg, Steiermark, Tirol und Vorarlberg, wobei jedes Bundesland für sich dargestellt ist. Sie enthalten einen historisch-topographischen Überblick über die Bibliotheken in diesen Bundesländern und ein Gesamtregister, in das das separate Register für Wien inkorporiert ist. Beide Teile enthalten die Vorworte und die Einleitung, sodaß sie für sich benützbar sind. In Anlage und Registergestaltung entspricht das Handbuch der historischen Buchbestände in Österreich dem Handbuch der historischen Buchbestände in Deutschland.
