Die vorliegende Arbeit beschäftigt sich mit der nominalen Katetorie MASS/COUNT im Bairischen. Die "traditionellen" Distinktionskriterien der sog. MASS/COUNT-Kategorie werden mitsamt der mit ihnen verbundenen Probleme dargestellt, und anhand einer empirischen Untersuchung am Bairischen die Schwierigkeiten ihrer Anwendbarkeit verdeutlicht. Bei der phänomenologischen Beschreibung der Verhältnisse im Bairischen wird auf die Begrifflichkeit eines Ansatzes aus dem Bereich der "Lexikalischen Typologie" zurückgegriffen, der die semantischen Dimensionen auseinanderdividiert, die m Zusammenhang mit der MASS/COUNT-Kategorisierung eine Rolle spielen (vgl. Behrens 1995, Behrens/Sasse 1998).
Mit Blick auf die liberale Theorie der Internationalen Beziehungen wird die Bedeutung von Medieninformation für außenpolitische Präferenzbildungsprozesse beleuchtet. Am Beispiel der Golfkrise 1990 und des Golfkrieges 1991 zeigt sich, dass von einer "frei deliberierenden" demokratischen Öffentlichkeit in den USA nicht unbedingt die Rede sein kann. Vielmehr bediente sich die Exekutive einer ausgefeilten "Medien(kriegs)politik", um den medialen Diskurs zu dominieren und die Meinungsbildung zu steuern. Dieser Befund stellt eine Herausforderung für die liberale Theorie dar: Wenn eine demokratische Öffentlichkeit nicht über ausgewogene Informationen verfügt, kann mit Blick auf militärische Gewalteinsätze nur eingeschränkt von demokratischer Kontrolle gesprochen werden. Ein amerikanischer Präsident, der mit seiner Medienpolitik den öffentlichen Diskurs über den Einsatz militärischer Gewalt dominieren kann, verfügt offensichtlich über größere Handlungsspielräume nach innen und außen, als die liberale Theorie bisher angenommen hat.
Discretionary disclosure theory suggests that firms' incentives to provide proprietary versus nonproprietary information differ markedly. To test this conjecture, the paper investigates the incentives of German firms to voluntarily disclose business segment reports and cash flow statements in their annual financial reports. While the former is likely to reveal proprietary information to competitors, the latter is less proprietary in nature. Using these proxies for proprietary and non-proprietary disclosures, respectively, I find that the determinants or at least their relative magnitudes differ in a way consistent with the proprietary cost hypothesis. That is, cash flow statement disclosures appear to be governed primarily by capital-market considerations, whereas segment disclosures are more strongly associated with proxies for product-market and proprietary-cost considerations.
Der deutsche Markt für Venture Capital (VC) ist trotz erfreulicher Fortschritte insbesondere in den letzten drei Jahren im Vergleich zum weltweit größten VC-Markt in den USA unterentwickelt. Venture Capital-Investitionen beliefen sich in Deutschland im Jahr 1996 auf 0,04% des Bruttoinlandsproduktes, weniger als ein Drittel des U.S.-amerikanischen Niveaus. Obwohl seither ein deutlicher Anstieg zu verzeichnen ist, hat der deutsche VC-Markt mit einem Fondsvolumen von ca. 18,6 Milliarden DM nach jüngsten Angaben nur etwa ein Achtel der Größe des amerikanischen Marktes.
Wie in vielen anderen Bereichen unserer Gesellschaft hat das Internet auch in die Wertpapierbranche Einzug erhalten. Diesbezüglich haben die USA sowohl in tatsächlicher als auch in rechtlicher Hinsicht wieder einmal eine Vorbildfunktion inne. Dies nimmt der Verfasser zum Anlaß, um sich kritisch mit den dortigen Erfahrungen zu beschäftigen. Ferner werden USamerikanische Wertpapiervorschriften besprochen, die sich nicht auf die USA beschränken. Der Gesetzgeber hat neben den Vorschriften über die elektronische Informationsverbreitung bereits Spezialregeln aufgestellt, die alle ausländischen Anbieter betreffen, die das Internet zu Handelszwecken nutzen. Dafür ist es sogar ohne Bedeutung, ob die Anbieter überhaupt einen internationalen Handel betreiben. Die Ausführungen und Regeln betreffen zum Teil die gesamte Wertpapierbranche. Das Hauptaugenmerk des Beitrags ist aber auf Investmentfonds gerichtet. Dabei stützt sich der Verfasser auf eine Untersuchung, die er 1998/99 als „Visiting Scholar“ an der New York University durchführen konnte.
We first analyze legal provisions relating to corporate transparency in Germany. We show that despite the new securities trading law (WpHG) of 1995, the practical efficacy of disclosure regulation is very low. On the one hand, the formation of business groups involving less regulated legal forms as intermediate layers can substantially reduce transparency. On the other hand, the implementation of the law is not practical and not very effective. We illustrate these arguments using several examples of WpHG filings. To illustrate the importance of transparency, we show next that German capital markets are dominated by few large firms accounting for most of the market’s capitalization and trading volume. Moreover, the concentration of control is very high. First, 85% of all officially listed AGs have a dominant shareholder (controlling more than 25% of the voting rights). Second, few large blockholders control several deciding voting blocks in listed corporations, while the majority controls only one block.
For some time now the buzzword 'transparency' has been bandied about in the media almost daily. For example, calls were made for greater transparency in the financial system in connection with developments in the Asian financial markets. But the call for greater transparency goes far beyond the financial markets. It is now regarded as a necessary part of "good governance" demanded of all economic policy makers. As the World Bank's chief economist Joseph Stiglitz put it: 'No one would dare say that they were against transparency (....): It would be like saying you were against motherhood or apple pie.' This paper focuses on transparency in monetary policy, in particular with respect to the European System of Central Bank.
The road to shareowner power

A dramatic rise in shareowner power and improvements in corporate governance tan be achieved in the next few years by expanding the role of proxy advisory firms. This will require changing the way such firms are paid. They are now paid directly by investors who buy their advice; but this arrangement suffers from a free-rider problem. Instead, they should be paid by each corporation about which they are advising, in accordance with shareholder vote so as to preclude management influence. This arrangement would make it economically feasible for advisory firms to expand their services, becoming proactive like relational investors. Any proxy advisor other than the market leader Stands to gain tremendously by initiating this new System. lt would eliminate the natura1 monopoly feature of the current System, and spread the tost more equitably across all shareowners. lt would also enable proxy advisory ftrms to market their Services to individual investors via the internet.
We analyze the role of different kinds of primary and secondary market interventions for the government's goal to maximize its revenues from public bond issuances. Some of these interventions can be thought of as characteristics of a "primary dealer system". After all, we see that a primary dealer system with a restricted number of participants may be useful in case of only restricted competition among sufficiently heterogeneous market makers. We further show that minimum secondary market turnover requirements for primary dealers with respect to bond sales seem to be in general more adequate than the definition of maximum bid-ask-spreads or minimum turnover requirements with respect to bond purchases. Moreover, official price management operations are not able to completely substitute for a system of primary dealers. Finally it should be noted that there is in general no reason for monetary compensations to primary dealers since they already possess some privileges with respect to public bond auction.
