Anfang Juli dieses Jahres hat die „Regierungskommission Corporate Governance“ ihren Bericht abschließend beraten und dem Bundeskanzler übergeben. Der wissenschaftlichen Öffentlichkeit wird er dagegen heute vorgelegt. Der Generalbericht dazu ist in drei Teile gegliedert: Der erste Teil informiert über Hintergrund und Zuschnitt des Auftrags der Regierungskommission (unten II.). Der zweite Teil weist auf diejenigen Themen hin, die aus der Sicht der Kommissionsarbeit besonders bedeutsam erscheinen (unten III.). Der Schluß wird sich mit der Umsetzung der Empfehlungen der Regierungskommission befassen (unten IV.).
Die Dissertation (Universität Eichstätt-Ingolstadt) beginnt mit dem Satz "Am Ende stritt man um Akten" und endet auf Seite 483 mit eben dem gleichen Satz. Zwischen Anfang und Ende dieser akribisch gearbeiteten Publikation, die Denzler bescheiden eine "Studie" nennt, werden die massenweise in den Archiven vorhandenen Akten, die während der letzten Visitation des Reichskammergerichts von 1767–1776 produziert wurden, nach ihrer Entstehung und Funktion untersucht. Als Leitbild der Untersuchung dient der "Reformhorizont" der Aufklärung, vor dessen Hintergrund das Visitationsgeschehen in Gestalt seiner Hand- und Druckschriften analysiert wird. "Reform"-zeiten, -räume, -akteure, -verfahren sowie -inhalte geben dem engagiert geschriebenen Buch eine klare Gliederung für die Untersuchung aller Schriftgattungen von den Protokollen, Schreiben, Diktaten, Abschriften, Diarien, Korrespondenzen, Instruktionen, Berichten bis zu Gutachten und Notizen, die alle das Visitationsgeschehen in und als "Akten" repräsentieren: 562 Aktenbündel; von 1056 Sitzungen sind 13 Bände Beratungsprotokolle überliefert, die 15732 Folioseiten umfassen; 50 Visitationsbeschlüsse liegen vor; die schriftlichen Befragungen von 92 Gerichtsmitgliedern ergaben 25000 Antworten (355, 478); hinzu kommen noch die Produktion aus der visitationseigenen Druckerei sowie 200 Einzelpublikationen zur Visitation und eine visitationseigene Zeitschrift als schriftliches Untersuchungsmaterial. Daraus entsteht ein höchst umfassendes und anschauliches Bild über Medientechnik, Schriftkultur, Justizkontrolle und Dienstaufsicht im Rahmen der Visitation. Aus dem quantitativen Befund in diesem "tintenklecksenden Saeculum", wie es Schiller genannt hat, leitet Denzler die These ab, dass die Visitation von 1767 eine enorme Vermehrung und Aufwertung von Schriftlichkeit schlechthin dokumentiert (16). Vor diesem Hintergrund soll die alltägliche Bedeutung der Schriftlichkeit für die Visitation analysiert und der "Entstehungs- und Überlieferungskontext" möglichst genau im "Schriftalltag" rekonstruiert werden. Dieser "Schriftalltag" reflektiert auch den Justizalltag in seiner rechtshistorischen Bedeutung. Diesen zu beschreiben ist zwar nicht Denzlers vorrangiges Ziel, aber die Kulturgeschichte des Geschriebenen beleuchtet und ergänzt die Geschichte der Rechtspraxis am Beispiel der Visitation von 1767 in vielfältiger Weise. Das belegen auch das reiche Quellen- und Literaturverzeichnis (489–562) und die Statistiken über Personalia, Visitationskosten, Examina, Gesandtschaftsquartiere, Verfahren usw. (565–604). ...
Die Mordserie des Nationalsozialistischen Untergrunds (NSU) hat eine beispiellose Reihe von Skandalen deutscher Sicherheitsbehörden öffentlich gemacht. In der vergangenen Woche hat ein Artikel in der Welt am Sonntag von den Journalisten Stefan Aust, Dirk Laabs und Per Hinrichs ein neues Kapitel in die Geschichte des NSU-Komplex eingefügt. ...
In der Wissenschaftsgeschichte des öffentlichen Rechts hat man den Glauben verloren, in scheinbar ewigen Begriffen zeitlose objektive Wahrheiten gespeichert zu finden. Die Bedeutung von Begriffen wie von Worten überhaupt ergibt sich aus wandelbaren Regeln ihrer Verwendung in konkreten Kontexten, die ihrerseits sprachlich erfasst und verstanden sein wollen. Die hiermit betonte Kontextbindung unterstreicht die kantische Erkenntnis, dass wir durch "sehr abstrakte" Begriffe "an vielen Dingen wenig" und durch "sehr konkrete" Begriffe "an wenigen Dingen viel" erkennen. Dabei hängt für Kant nicht nur das "Maximum der Erkenntnis" an der richtigen Austarierung der Abstraktionshöhe, sondern besteht hierin zugleich die "Kunst der Popularität". Die Wahl des Abstraktionsgrades und der Vergleichsebenen stellt Anforderungen auch an die Geschichtsschreibung, namentlich an die Beschäftigung mit dem Nationalsozialismus, der nicht einfach "Der Faschismus in seiner Epoche" gewesen ist. In Besonderheit zeigt der Holocaust, dass sich transnationale Vergleichsbildungen geradezu verbieten können. Sofern sich die Wissenschaftsgeschichte mit dem Nationalsozialismus auseinandersetzt, ist sie gut beraten, mit Michael Stolleis bei den zeitgenössischen Wortverwendungen ihren Ausgangspunkt zu nehmen. Da die zentralen Wörter, traditionell die "Grundbegriffe" der Wissenschaft des öffentlichen Rechts, immer wieder die Aufmerksamkeit auch anderer Disziplinen gefunden haben, insbesondere der politischen Theorie, Philosophie, Geschichtswissenschaft und später zudem der Sozialwissenschaften, geben bereits die zu gewärtigenden gegenseitigen Beeinflussungen zu entsprechenden Seitenblicken in der Geschichte des öffentlichen Rechts Anlass. ...
Der vorstehende Beitrag hat untersucht, ob die Praxis, „defensive bids“ in Staatsanleiheauktionen abzugeben oder die Veröffentlichung einer künstlich erhöhten „Bid to Cover-Ratio“ durch die Emittenten von Staatsanleihen sowie ihre „Primary Dealers“ eine verbotene Marktmanipulation im Sinne des § 20 a WpHG darstellen. Das rechtspolitisch wenig überzeugende Ergebnis ist, dass der Emittent und Auslöser dieser Vorgänge – mangels Anwendbarkeit der Norm – nicht gegen das Verbot des § 20 a WpHG verstößt, die privatrechtlich organisierten „Primary Dealers“ – durch die Veröffentlichung der Kennzahl – hingegen durchaus. Inwiefern das aufgezeigte und als Marktmanipulation erkannte Verhalten strafrechtlich sanktioniert werden kann, soll hier nicht erörtert werden, hängt es doch sehr stark vom jeweiligen Einzelfall ab. Der Reputationsschaden, der aus dem Vorwurf der Marktmanipulation entsteht, ist indes nicht zu unterschätzen. Vielleicht gelingt es den „Primary Dealers“ aber gerade deswegen, unter Hinweis auf § 20 a WpHG die Finanzagenturen der Emittenten davon abzuhalten, „defensive bids“ von ihnen einzufordern. Insbesondere der gemeinschaftsrechtliche Hintergrund des Verbots der Marktmanipulation und das Streben nach einem Gleichlauf der Aufsichtspraxis für Marktmanipulationen legen es nahe, dass sich die Aufsichtsbehörden der entsprechenden Emittenten genauer mit den Vorgängen um die Staatsanleiheauktionen befassen. Schließlich besteht auch in Frankreich ein Verbot der Marktmanipulation in Form der Art. L. 465-2 Code monétaire et financier i.V.m. Art. 631-1 Règlement général de l’autorité des marchés financiers (AMF). Darüber hinaus stehen die Anforderungen der Richtlinie über Märkte für Finanzinstrumente (MiFiD) zur „best practice“ und dem Transparenzgebot zum Schutz der Anleger im Widerspruch zu dem geschilderten Verhalten. Vor diesem Hintergrund sollten weder „defensive bids“ eingefordert noch abgegeben werden. Damit wäre nicht nur den „Primary Dealers“, sondern vor allem dem Markt für Staatsanleihen und den Anlegern gedient.
Mit der neuen Umgangspflegschaft verabschiedet sich der Gesetzgeber vom Grundsatz, dass Eingriffe in das elterliche Sorgerecht erst bei (nicht anders abwendbaren) erheblichen Kindeswohlgefährdungen zulässig sind. Bleibt zu hoffen, dass die Praxis mit größter Behutsamkeit von der Bestellung von Umgangspflegschaften Gebrauch macht, insbesondere dann, wenn Umgang gegen den Kindeswillen durchgesetzt werden soll, was sich aus rechtlichen, fachlichen und ethischen Gründen verbietet. Die massive Bedrohung der eigenständigen Interessenvertretung Minderjähriger – die bislang eine Erfolgsgeschichte zu werden schien – tritt am 01.09.2009 in Kraft. Verfahrenspfleger/-beistände werden sich auf die neue vergütungsrechtliche Situation einzustellen haben, mit welchen persönlichen Konsequenzen, das kann nur von ihnen beantwortet werden. Es wäre schade, insbesondere für die auf qualifizierte und einfühlsame erfahrenspfleger/-beistände angewiesenen Minderjährigen, wenn allzu viele dieser erfahrenen und bewährten Interessenvertreter Minderjähriger sich von diesem bedeutsamen, aber auch herausfordernden Arbeitsfeld abwenden müssten, geht es doch bei der Gruppe von Minderjährigen, die auf einen Verfahrenspfleger bzw. -beistand zur eigenständigen Wahrnehmung ihrer Interessen angewiesen sind, um Minderjährige, die bereits erheblich gefährdet sind oder waren bzw. denen eine solch massive Beeinträchtigung ihres Wohls droht. Sicherlich: Auf die Situation vor 1998 sind wir noch nicht zurückgeworfen, aber es gilt in mühsamer Arbeit die Rechtspolitik davon zu überzeugen, dass diese Fehlentscheidung alsbald korrigiert werden muss.
It is an established policy in the United States to separate commercial banking (the business of taking deposits and making commercial loans) from other commercial activities. The separation of banking and commercial activities is achieved by federal and state banking laws, which enumerate the powers that banks may exercise, the activities that banks may engage in, and the investments that banks may lawfully make, and expressly exclude banks from certain activities or relationships. Some of these provisions could be circumvented if a nonbank company could carry on banking activities through a banking subsidiary and nonbanking activities either itself or through a nonbanking subsidiary.
