Die Einschaltung einer Tochtergesellschaft im Rahmen einer Verschmelzung kann aus mehreren Gründen in Betracht gezogen werden: Erstens mag die Verschmelzung mit einer Tochter statt auf die Muttergesellschaft im Einzelfall Vorteile bieten (unten 1.). Zweitens kommt die Verschmelzung mit einer Tochter als Alternative zum bloßen Anteilserwerb in Betracht (unten 2.). In beiden genannten Fällen wird die Verschmelzung der Zielgesellschaft mit einer Tochter der am Erwerb interessierten Gesellschaft vorgenommen; die Tochter bleibt auf Dauer selbständig. Im dritten Fall dagegen wird eine Tochtergesellschaft lediglich vorläufig, als "Zwischenstation", eingeschaltet: Zunächst werden die Anteile an der Zielgesellschaft in ein Tochterunternehmen der Erwerbergesellschaft oder auch der Aktionäre der Zielgesellschaft eingebracht. Das Tochterunternehmen wird dann in einem zweiten Schritt mit der Erwerbergesellschaft verschmolzen (unten 3.). Nur eine Abwandlung dieser Gestaltung stellt es schließlich dar, wenn zwei Gesellschaften gleichzeitig oder nacheinander im Wege der Einzelverschmelzung auf die Tochtergesellschaft einer der beiden Gesellschaften oder eines dritten Unternehmens verschmolzen werden (unten 4.). Die nachfolgenden Bemerkungen gehen den Gründen für diese Gestaltungen und einigen hiermit verbundenen Rechtsfragen nach.
The article describes the legal structure of the Daimler-Chrysler merger. It asks why this specific structure rather than another cheaper way was chosen. This leads to the more general question of the pros and cons of mandatory corporate law as a regulatory device. The article advocates an "optional" approach: The legislator should offer various menus or sets of binding rules among which the parties may choose. (JEL: ...)
In this exploratory article, we consider the future of Deutsche Bank and Commerzbank and develop a new approach to the topic: instead of a merger of DB and CB we propose to consider a partial merger of the IT and related back office functions in order to create the basis for an Open Banking platform in Germany. Such a platform would act as a cross-institutional infrastructure company in which the participating banks develop a common data and IT platform (while respecting the data protection regulations). Significant parts of the transaction processes would be pooled by the institutions and executed by the Open Banking platform. Moreover, the institutions remain legally independent and compete with each other at the level of products and services that are developed and produced using just this common data and IT platform – “national champions” would not be created.
But such an “Open Banking Platform” could become even the nucleus of a European Banking platform that could be competitive with existing global data platforms from the USA and China which are already offering financial services and are likely to expand their offerings in the foreseeable future. The proposed model of an open data platform for banks prevents the emergence of national champions and supports the main goal of the banking union: creation of a financial system, in which single banks can be resolved without provoking a systemic crisis and forcing taxpayers to finance bailouts.
In diesem explorativen Beitrag machen wir uns Gedanken über die Zukunft von Deutscher Bank und Commerzbank und entwickeln einen neuen Zugang zu dem Thema: Statt einer Fusion von DB und CB schlagen wir eine Teilfusion nur der Datenzentren vor – es entsteht auf diese Weise die Grundlage für eine Open Banking Plattform als „utility“, also als Betrieb im Eigentum der Nutzer, an der perspektivisch weitere Finanzinstitute teilnehmen können. Die über die Daten kooperierenden Institute bleiben mit Blick auf Produkte und Dienstleistungen unverändert Konkurrenten – „national champions“ entstehen auf diese Weise nicht. Aber es wird damit in Europa die Basis für einen erfolgversprechenden Wettbewerb mit den großen Datenplattformen aus USA und China (Facebook, Amazon, Alipay) gelegt, die früher oder später in den Finanzmarkt eindringen werden. Das von uns vorgeschlagene Modell einer offenen Datenplattform für Banken verhindert das Entstehen von „national champions“ und schützt damit auch das Kernanliegen der Bankenunion: Die Schaffung eines Finanzsystems, dessen Banken jede für sich ausscheiden können ohne eine systemische Krise auszulösen, und ohne den Steuerzahler zu einer Rettungsaktion zu zwingen
This paper suggests a motive for bank mergers that goes beyond alleged and typically unverifiable scale economies: preemtive resolution of banks´ financial distress. Such "distress mergers" can be a significant motivation for mergers because they can foster reorganizations, realize diversification gains, and avoid public attention. However, since none of these potential benefits comes without a cost, the overall assessment of distress mergers is unclear. We conduct an empirical analysis to provide evidence on consequences of distress mergers. The analysis is based on comprehensive data from Germany´s savings and cooperatives banks sectors over the period 1993 to 2001. During this period both sectors faced significant structural problems and superordinate institutions (associations) presumably have engaged in coordinated actions to manage distress mergers. The data comprise 3640 banks and 1484 mergers. Our results suggest that bank mergers as a means of preemtive distress resolution have moderate costs in terms of the economic impact on performance. We do find strong evidence consistent with diversification gains. Thus, distress mergers seem to have benefits without affecting systematic stability adversely.
In information society, legal norm communications have been never established in certain fields for a long time. That is, a few legal norms have never obeyed in the fields. Above all, legal norms which relate to data protection, information contents and information security, would often infringed. Most violation would be conducted by using information technologies. Information technologies would often be used in these infringing incidents. It can be said that these infringing incidents would have never been conducted without information technology. These infringing incidents include hacking actions, personal data abuse, personal information disclosure, unauthorized access, infringing copyrights, infringing privacy rights, and so on. A way of preventing those infringements is to raise the level of punishment against the violators. But, it will prove to be disappointing. Furthermore, it would be an ex post facto measure to the last. It would be needed to invent an ex ante measure, if it is possible. As the ex ante measure, the author proposes a fusion of law and information technology. An information technology will lead people to a lawful deed when they conduct actions in using computers and networks. They say that information technology cures information technology. After all, the fusion will aim at realizing laws, and it will contribute to recover a social justice.
