Großvereine wie der ADAC – neben den Automobilclubs sind hier zum Beispiel noch die Vereine der Freien Wohlfahrtspflege (DRK, Arbeiterwohlfahrt usw.), die Technischen Verei-ne (TÜV5, DEKRA) und die Vereine der beiden Fußball-Lizenzligen6 zu nennen – entspre-chen nicht dem Leitbild des ideellen Vereins, das der Gesetzgeber bei der Schaffung des BGB-Vereinsrechts vor mehr als 100 Jahren vor Augen hatte. Zwar erfassen die §§ 21 ff. BGB dem Wortlaut nach sämtliche Vereine ungeachtet ihrer Mitgliederzahl, ihres Organisationsaufbaus und ihres Wirkungsbereichs. Doch war man sich schon zur Zeit der Entstehung des BGB darüber im klaren, daß diese Vorschriften nicht über den lokalen Kleinverein hinaus passen.
On April 24, 2001 the European Commission presented a proposal for a Directive1 introducing supplementary supervision of financial conglomerates (the Proposed Directive). The Proposed Directive requires a closer coordination among supervisory authorities of different sectors of the financial industry and leads to changes in the number of existing Directives relating to the supervision of credit institutions, insurance undertakings and investment firms.
In den vergangenen Jahren haben sich die Kapitalmärkte und das Anlegerinteresse an der Aktie in Deutschland stark verändert. Die Suche nach einer notwendigen und rentablen Ergänzung traditioneller Altersvorsorgeformen hat dazu ebenso beigetragen wie die Privatisierung von im Staatsbesitz gehaltenen Unternehmen. Aber auch der Börsengang einer Vielzahl junger Unternehmen sorgt in bisher nicht gekanntem Ausmaß für zusätzliches Interesse der „Erbengeneration“, der die Beteiligung kostengünstig über Online-Broker ermöglicht wird. Eine hervorragende Bedeutung kommt in diesem Zusammenhang dem Neuen Markt der Deutschen Börse zu, der sich seit seiner Einrichtung 1997 hinsichtlich der Zahl der Neuemissionen, der Marktkapitalisierung und der Börsenumsätze auch im internationalen Vergleich außergewöhnlich erfolgreich entwickelt hat. Der gegenwärtige Konjunkturabschwung, der von einem starken Rückgang der Kurse an den Börsen und darunter auch vor allem am Neuen Markt begleitet wurde, gibt Gelegenheit, über allfällige Verbesserungen des regulatorischen Umfelds nachzudenken, die helfen sollen, die Effizienz des organisierten Kapitalmarkts weiter zu steigern und das Vertrauen der Anleger in das ordnungsgemäße Funktionieren des Markts zu festigen. Die Deutsche Börse hat mit Verbesserungen des Regelwerks Neuer Markt bereits wichtige Schritte in diese Richtung unternommen.
It is an established policy in the United States to separate commercial banking (the business of taking deposits and making commercial loans) from other commercial activities. The separation of banking and commercial activities is achieved by federal and state banking laws, which enumerate the powers that banks may exercise, the activities that banks may engage in, and the investments that banks may lawfully make, and expressly exclude banks from certain activities or relationships. Some of these provisions could be circumvented if a nonbank company could carry on banking activities through a banking subsidiary and nonbanking activities either itself or through a nonbanking subsidiary.
Am 26.02.2002 hat die von der Bundesministerin der Justiz auf Empfehlung der Regierungskommission Corporate Governance eingesetzte Kodex-Kommission den Deutschen Corporate Governance Kodex (im folgenden: DCG-Kodex/Kodex) vorgelegt. Mit Inkrafttreten des Transparenz- und Publizitätsgesetzes4, voraussichtlich im August 2002, werden Vorstand und Aufsichtsrat börsennotierter Aktiengesellschaften künftig jährlich zu erklären haben, ob sie den Empfehlungen des Kodex folgen, und, soweit dies nicht der Fall ist, Abweichungen offen zu legen haben. Im folgenden ist zunächst das Kodex-Konzept, das dem angelsächsischen Rechtskreis entstammt, zu erläutern und die mit dem DCG-Kodex verfolgte Zielsetzung vorzustellen (dazu B.). Dem schließt sich ein Überblick über Regelungstechnik und Inhalt des DCG-Kodex sowie dessen gesetzliche „Flankierung“ durch das TransPuG an (dazu C.). Sodann werden die Entsprechens-Erklärung (dazu D.) sowie Haftungsfragen im Zusammenhang mit dem DCG-Kodex (dazu E.) behandelt.
Das am 01.01.2002 in Kraft getretene Gesetz zur Regelung von öffentlichen Angeboten zum Erwerb von Wertpapieren und von Unternehmensübernahmen (WpÜG) beschränkt sich - anders als noch der Diskussionsentwurf des WpÜG - nicht auf die Regelung von öffentlichen Angeboten zum Erwerb von Wertpapieren, die auf den Erwerb der Kontrolle an einer Zielgesellschaft gerichtet sind oder eine bereits bestehende Kontrollmehrheit voraussetzen, sondern trifft darüber hinaus mit den §§ 10 - 28 WpÜG Bestimmungen für jegliche öffentlichen Angebote zum Erwerb von Wertpapieren. Die naheliegende Frage, ob hierzu auch öffentliche Angebote zum Rückerwerb eigener Aktien, namentlich aufgrund Hauptversammlungsermächtigung gemäß § 71 Abs. 1 Nr. 8 S. 1 AktG, rechnen, lässt das Gesetz unbeantwortet. Erste Stellungnahmen in der Literatur gehen davon aus, daß das WpÜG auch auf solche self tender offers unmittelbar Anwendung finde, einzelne nicht passende Bestimmungen der §§ 10 - 28 WpÜG allerdings teleologisch zu reduzieren seien. Die Verfasser widersprechen der These einer unmittelbaren Anwendbarkeit des WpÜG auf öffentliche Angebote zum Rückerwerb eigener Aktien und befassen sich sodann mit der Frage, ob einzelne Vorschriften des WpÜG auf self tender offers analoge Anwendung finden.
Anfang Juli dieses Jahres hat die „Regierungskommission Corporate Governance“ ihren Bericht abschließend beraten und dem Bundeskanzler übergeben. Der wissenschaftlichen Öffentlichkeit wird er dagegen heute vorgelegt. Der Generalbericht dazu ist in drei Teile gegliedert: Der erste Teil informiert über Hintergrund und Zuschnitt des Auftrags der Regierungskommission (unten II.). Der zweite Teil weist auf diejenigen Themen hin, die aus der Sicht der Kommissionsarbeit besonders bedeutsam erscheinen (unten III.). Der Schluß wird sich mit der Umsetzung der Empfehlungen der Regierungskommission befassen (unten IV.).
The institutionalization and internationalization of shareholdings, the globalization of capital markets and the rapid development of information technologies have placed our corporate law system under increasing pressure to adapt to the ever changing requirements of the market. For this reason, in May 2000, the German government called together a group of industrialists, representatives of shareholder associations and institutional investors, trade unionists, politicians and scholars to form an expert Panel with the task of reviewing the German corporate governance system. This Government Panel on Corporate Governance prepared a questionnaire on key issues in the field, and solicited responses and input from numerous national and international experts and institutions. In July 2001, the Commission presented its 320 page report (available at www.ottoschmidt. de/corporate_governance.htm) to the German Chancellor. The Report made nearly 150 recommendations for amendments or changes to existing provisions of German law and also set forth proposals on how the German corporate governance system should be further developed in order to maintain a normative framework that is suitable and attractive not only for companies, but also for domestic and foreign investors. In order that the Panel s proposals may receive careful consideration from a diverse audience, it seems very useful to keep a wider public informed of the Panel s recommendations. Therefore, also on behalf of the Panel, I very much appreciate that the international law firm Shearman & Sterling has taken the initiative to have the summary of the Panel s recommendations translated into English.
Während des Untersuchungszeitraums (1980 – 1999 einschließlich) ist sowohl die Zahl der Aktiengesellschaften in Deutschland insgesamt als auch die Zahl der börsennotierten Gesellschaften gestiegen. Dabei verlief der Anstieg nicht gleichförmig. Während beide Zahlen sich in den Jahren 1980 bis 1990 nur unwesentlich veränderten, ist für die Jahre nach 1996 ein geradezu sprunghafter Anstieg der absoluten Zahl von Gesellschaften zu verzeichnen. Die Zunahme börsennotierter Gesellschaften blieb demgegenüber im Verhältnis eher gering. Während die Zahl der Gesellschaften insgesamt sich im Untersuchungszeitraum um das 3,5-fache erhöht hat, hat sich die Gesamtzahl börsennotierter Aktiengesellschaften lediglich verdoppelt.
Das Arbeitspapier „Die Anfechtung von Hauptversammlungsbeschlüssen“ ist der Entwurf des Hauptteils meines Gutachtens für den diesjährigen Deutschen Juristentag. Es wird wie die früheren Arbeitspapiere Freunden und Förderern des Instituts, darüber hinaus aber auch interessierten Fachkollegen mit der Bitte übersandt, dem Verfasser Anmerkungen und Kritik mitzuteilen, die im Rahmen des Möglichen berücksichtigt werden sollen. Das überarbeitete und vollständige Gutachten wird vom DJT im C.H. Beck Verlag veröffentlicht werden.
Anders als in den Vereinigten Staaten, wo der Gesetzgeber dem Problem der Kursmanipulationen bereits seit Anfang des Jahrhunderts große Aufmerksamkeit gewidmet und ein umfassendes, detailliertes Regelwerk geschaffen hat, das beinahe jedes kursbeeinflussende Verhalten behandelt, haben Gesetzgeber und Literatur der Materie in Deutschland bisher nur wenig Beachtung geschenkt. Die Diskussion um die kommende Börsenreform wird sich wesentlich mit der Frage zu beschäftigen haben, ob und wie die bisherige Regulierung zur Verhinderung von Kursmanipulationen verbessert werden muß, um die Effizienz und damit die Wettbewerbsfähigkeit des deutschen Kapitalmarktes zu sichern. Der folgende Beitrag geht der Frage nach, wo das deutsche Recht in diesem Bereich Lücken aufweist, und unterbreitet Vorschläge, wie diese geschlossen werden könnten.
Der deutsche Markt für Venture Capital (VC) ist trotz erfreulicher Fortschritte insbesondere in den letzten drei Jahren im Vergleich zum weltweit größten VC-Markt in den USA unterentwickelt. Venture Capital-Investitionen beliefen sich in Deutschland im Jahr 1996 auf 0,04% des Bruttoinlandsproduktes, weniger als ein Drittel des U.S.-amerikanischen Niveaus. Obwohl seither ein deutlicher Anstieg zu verzeichnen ist, hat der deutsche VC-Markt mit einem Fondsvolumen von ca. 18,6 Milliarden DM nach jüngsten Angaben nur etwa ein Achtel der Größe des amerikanischen Marktes.
Wie in vielen anderen Bereichen unserer Gesellschaft hat das Internet auch in die Wertpapierbranche Einzug erhalten. Diesbezüglich haben die USA sowohl in tatsächlicher als auch in rechtlicher Hinsicht wieder einmal eine Vorbildfunktion inne. Dies nimmt der Verfasser zum Anlaß, um sich kritisch mit den dortigen Erfahrungen zu beschäftigen. Ferner werden USamerikanische Wertpapiervorschriften besprochen, die sich nicht auf die USA beschränken. Der Gesetzgeber hat neben den Vorschriften über die elektronische Informationsverbreitung bereits Spezialregeln aufgestellt, die alle ausländischen Anbieter betreffen, die das Internet zu Handelszwecken nutzen. Dafür ist es sogar ohne Bedeutung, ob die Anbieter überhaupt einen internationalen Handel betreiben. Die Ausführungen und Regeln betreffen zum Teil die gesamte Wertpapierbranche. Das Hauptaugenmerk des Beitrags ist aber auf Investmentfonds gerichtet. Dabei stützt sich der Verfasser auf eine Untersuchung, die er 1998/99 als „Visiting Scholar“ an der New York University durchführen konnte.
The road to shareowner power

A dramatic rise in shareowner power and improvements in corporate governance tan be achieved in the next few years by expanding the role of proxy advisory firms. This will require changing the way such firms are paid. They are now paid directly by investors who buy their advice; but this arrangement suffers from a free-rider problem. Instead, they should be paid by each corporation about which they are advising, in accordance with shareholder vote so as to preclude management influence. This arrangement would make it economically feasible for advisory firms to expand their services, becoming proactive like relational investors. Any proxy advisor other than the market leader Stands to gain tremendously by initiating this new System. lt would eliminate the natura1 monopoly feature of the current System, and spread the tost more equitably across all shareowners. lt would also enable proxy advisory ftrms to market their Services to individual investors via the internet.
Der Fall Daimler - Chrysler. Am 18. September 1998 haben die Aktionäre der Chrysler Inc. und der Daimler-Benz AG in separaten Hauptversammlungen in Wilmington/USA und Stuttgart dem weltweit größten internationalen Zusammenschluß von Industrieunternehmen ihre Zustimmung erteilt. Der Zusammenschluß läßt einen Weltkonzern entstehen mit derzeit mehr als 420 000 Beschäftigten, knapp DM 230 Mrd. Umsatz, DM 55 Mrd. Eigenkapital, einer Bilanzsumme von DM 245 Mrd. und einem jährlichen Forschungs- und Entwicklungsaufwand von knapp DM 13 Mrd. Die Konzernspitze ist zwar eine deutsche Aktiengesellschaft mit Sitz in Stuttgart. Aber die Mehrheit ihrer Aktien wird im Ausland gehalten, die Unternehmensorgane Vorstand und Aufsichtsrat werden international besetzt, und die "offizielle" Unternehmenssprache wird Englisch sein. Für das deutsche Gesellschaftsrecht ist dieser Vorgang in mehrfacher Hinsicht von weitreichender Bedeutung.
Die Börsensachverständigenkommission (im folgenden: BSK) hat sich unlängst für eine gesetzliche Regelung öffentlicher Übernahmen ausgesprochen und zu deren Inhalt "Standpunkte" formuliert). In ihren Grundzügen stimmen die Überlegungen der Kommission weitgehend mit dem vom Verfasser vorgelegten Vorschlag) überein. Im Detail finden sich freilich einige Abweichungen und interessante Alternativen, die im folgenden erörtert werden sollen.
Corporate governance is currently a topic of great worldwide interest to academics, legislators, and practitioners. In addition to several academic articles, it has prompted active involvement of the OECD, the EU, the German Monopolkommission, the Bundestag, and several other institutions. Especially in comparison to the Anglo-American system, German corporate governance is characterized by lesser reliance on capital markets and outside investors, but a stronger reliance on large inside investors and financial institutions to achieve efficiency in the corporate sector. Since data on German corporations have become more easily available in recent years, the discussion has lately become more scientific and started to focus on studying the benefits and costs of the German system. The empirical results presented in this survey focus on the relation between ownership structure and firm performance in Germany. I summarize several empirical studies on this topic and put them into context to the institutional and legal environment in Germany. Due to data restrictions on unlisted firms, most results are based on corporations trading in official markets, representing the first-tier stock market in Germany. These firms have to publish large blockholdings exceeding 25% in their annual report. While this type of ownership data has been accessible for several years, information on voting control has only become available with the 1995 transposition of the European Union’s Transparency Directive into national law (Wertpapierhandelsgesetz, WpHG).
Hält man sich die Zahl der in Deutschland zum Vertrieb zugelassenen Publikumsfonds vor Augen, scheinen die in den Anfängen des Investmentsparens geäußerten Vorzüge des Investmentsparens’ ad absurdum geführt. So muß der Anleger allein im Bereich deutscher Aktien inzwischen aus mehr als 122 verschiedenen Fonds2 auswählen. Im Interesse einer Förderung der Transparenz der Fonds wären daher Schritte in Richtung einer Straffung des Fondsangebots wünschenswert. Die Notwendigkeit hierfür wird eindrucksvoll verdeutlicht, wenn man den aufgelösten Fonds die Zahl der neu aufgelegten Fonds gegenüberstellt. So kamen in den letzten Jahren in Deutschland auf jeden aufgelösten drei neue Publikumsfonds.
Shareholder voting is back on the agenda of public debate for several reasons. One is the investors’ internationalization of capital investments and the raising of funds globally by companies. It can be predicted that considering the growing together of capital markets the trend to international investments will increase not least because the introduction of the Euro will create a uniform European stock market. This leads to the question how the law deals with this development and its problems. The EU Commission has commissioned a comparative study dealing, inter alia, with shareholders’ representation at general meetings in the EU member states.1 The aim is to simplify the operating regulations for public limited companies in the EU. Furthermore, the internationalization of shareholdings leads the investors to ask how their interests are protected abroad. Are the mechanisms of shareholder protection sufficient for foreign investors? In particular the formation of transnational companies like Daimler-Chrysler will change corporate governance systems. It remains to be seen whether and how foreign institutional investors will use measures of - in this case - German corporate law to control the management. From a microeconomic point of view the question is what specific features of a given corporate governance system might contribute to better performance of firms. The following remarks will however, be confined to one specific aspect of corporate governance only, the exercise of shareholders’ voting rights at the general meeting.
