"Tracking Stock", zum Teil auch als "Targeted Stock" bezeichnet, ist eine Innovation des U.S.-amerikanischen Kapitalmarkts. Mit Tracking Stocks bezeichnet man Aktien, deren Gewinnbezugsrecht sich lediglich nach dem Ergebnis einer bestimmten Unternehmenssparte, nicht des Gesamtunternehmens, bemißt. Ein typisches Beispiel bildet die Schaffung von Tracking Stocks im Zusammenhang mit der Übernahme von Electronic Data Systems (EDS) durch General Motors im Jahre 1984. Die bisherigen Aktionäre von EDS, die EDS eingebracht hatten, erhielten zwar General Motors-Aktien, deren Dividendenbezugsrecht aber am - separat zu ermittelnden - Gewinn der künftigen EDS-Sparte von General Motors orientiert wurde. Damit sollte erreicht werden, die bisherigen Aktionäre der EDS auch weiterhin vorrangig an den Erträgen des - im Vergleich zum Kerngeschäft von General Motors als profitabler eingeschätzten - Elektronikgeschäfts teilhaben zu lassen. Im folgenden werden zunächst Gründe und Anwendungsbereich (II.) sowie die Vor- und Nachteile dieser Gestaltung (III.) näher erläutert. Ein weiterer Abschnitt (IV.) wendet sich dann ausgewählten Einzelfragen zu, die sich bei Einführung dieses Instruments nach deutschem Recht stellen würden.
Universal banking means that banks are permitted to offer all of the various kinds of financial services. This includes classical banking activities like the credit and deposit business, as well as investment services, placement and brokerage of securities, and even insurance activities, trading in real estate and others. German universal banks also hold stock in nonfinancial firms and offer to vote their clients' shares in other firms. This paper deals with universal banks and their role in the investment business, more specifically, their links with investment companies and their various roles as shareholders and providers of financial services to such companies. Banks and investment companies have, as financial intermediaries, one trait in common: they both transform capital of investors (depositors and shareholders of investment funds, respectively) into funds (loans and equity or debt securities, respectively) that are channeled to other firms. So why should a regulation forbid to combine these transformation tasks in one institution or group, and why should the law not allow banks to establish investment companies and provide all kinds of financial services to them in addition to their banking services? German banking and investment company law have answered these questions in the affirmative. This paper argues that the existing regulation is not a sound and recommendable one. The paper is organized as follows: Sections II - V identify four areas where the combination of banking and investment might either harm the shareholders of the investment funds and/or negatively affect other constituencies such as the shareholders of the banking institution. These sections will at the same time explore whether there are institutional or regulatory provisions in place or market forces at work that adequately protect investors and the other constituencies in question. Concluding remarks follow (VI.).
Die Kommission plant seit langem eine Harmonisierung des Rechts der Unternehmensübernahmen in der Gemeinschaft. Betroffen von diesen Plänen sind freilich vorerst nur Aktiengesellschaften, deren Papiere an einem regulierten Markt gehandelt werden. Und noch in einer anderen Richtung sind die Regulierungspläne beschränkt: Der von der Kommission vorgelegte Vorschlag für eine dreizehnte Richtlinie des Rates auf dem Gebiete des Gesellschaftsrechts betrifft vornehmlich die Übernahme von Aktien einer Gesellschaft auf dem Wege eines öffentlichen Übernahmeangebots, ein Weg, der in Deutschland nur in seltenen Ausnahmefällen beschritten wird. Die scharfe Ablehnung, der sich der Entwurf dennoch vor allem in Deutschland ausgesetzt sieht, richtet sich gegen Art. 4 des Entwurfs. Diese Vorschrift erfaßt auch den Aktienerwerb auf anderem Wege als dem des öffentlichen Übernahmeangebots, sofern nur die Transaktion, z. B. ein Paketkauf, dem Erwerber die Kontrolle über die betreffende Gesellschaft verschafft. Dann soll nach Art. 4 des Entwurfs der Erwerber einer solchen kontrollierenden Beteiligung verpflichtet sein, den übrigen Aktionären die Übernahme auch ihrer Aktien anzubieten. Dabei setzt der Richtlinienentwurf die Schwelle, ab welcher der Erwerb einer "kontrollierenden" Beteiligung angenommen und damit die Pflicht zu Erwerb aller übrigen Aktien ausgelöst wird, bei einem Drittel der stimmberechtigten Aktien an. Diese Betrachtung ist zumindest für Publikumsgesellschaften, die sich mehrheitlich in Streubesitz befinden, offenkundig realistisch. So waren im Jahre 1992 auf den Hauptversammlungen der 24 größten deutschen Publikumsgesellschaften durchschnittlich nur 58 Prozent der stimmberechtigten Aktionäre vertreten. In diesen Fällen kann also, wenn man so will, die "Kontrolle" bereits mit knapp dreißig Prozent aller stimmberechtigten Aktien erworben und ausgeübt werden. Eine Diskussion der Regulierung von Unternehmensübernahmen und der Vorschläge der Kommission hierzu kann an verschiedenen Punkten ansetzen: So kann man ganz grundsätzlich die Bedeutung von Unternehmensübernahmen und ihrer Regulierung für den Kapitalmarkt und den "Markt für Unternehmenskontrolle" erörtern oder nach den ökonomischen Auswirkungen des in Art. 4 des Richtlinienentwurfs vorgesehenen Zwangsübernahmeangebotes fragen. Man kann der Frage nachgehen, ob eine gesetzliche Regelung überhaupt erforderlich ist, oder ob eine Selbstregulierung genügt, wie sie bisher in Deutschland in Form einer Empfehlung der Börsensachverständigenkommission besteht, oder wie sie - freilich mit viel weitergehendem Inhalt und wirkungsvoller - der englische Kapitalmarkt in Form des "City Code on Takeovers and Mergers" kennt. Meine folgenden Bemerkungen beschränken sich auf die Harmonisierung des Takeoverrechts auf Gemeinschaftsebene. Dabei geht es nicht um eine rechtspolitische Kritik des vorliegenden Richtlinienentwurfs im Detail. Sondern es soll vorrangig die - z. B. vom Rechtsausschuß des Deutschen Bundestages vehement verneinte - Notwendigkeit einer europaweiten Regulierung von Unternehmensübernahmen erörtert werden. Bedarf es tatsächlich einer - zumindest in ihren Grundzügen - einheitlichen oder annähernd einheitlichen Regulierung dieses Bereichs seitens der Union? Die Erörterung dieser Frage setzt zunächst einen knappen Abriß der Entwicklung der bisherigen Harmonisierungsbestrebungen und eine genauere Orientierung über den Inhalt des gegenwärtigen Richtlinienentwurfs voraus (unten II.). Sodann bedarf es, insbesondere im Hinblick auf das durch den Maastricht-Vertrag 1992 eingeführte Subsidiaritätsprinzip, einer erneuten Vergewisserung der Grundlagen einer EG-weiten Rechtsangleichung in diesem Bereich (unten III.). Dem folgen dann Überlegungen zur Erforderlichkeit einer europaweiten Regulierung von Unternehmensübernahmen (IV.) und abschließend ein Ausblick auf die voraussichtlich zu erwartende Entwicklung (V.).
Professionelle Stimmrechtsvertreter bieten durch ihre Spezialisierungs- und Größenvorteile Aktionären, die als je einzelne Kosten und Mühen wohlinformierter Stimmabgabe scheuen würden, eine kostengünstige Möglichkeit zur Wahrnehmung ihrer Rechte in der Hauptversammlung. Trittbrettfahrereffekte und Informationsasymmetrien hindern jedoch das Entstehen eines qualitätsfordernden Wettbewerbs zwischen Anbietern professioneller Stimmrechtsvertretung: Im Ergebnis vermögen deshalb nur solche Anbieter auf dem Markt zu bestehen, die anstelle einer expliziten eine implizite, durch Einfluß auf die Geschäftsbeziehungen des kontrollierten Unternehmen vermittelte Vergütung durch das Einwerben und Ausüben von Stimmrechten Dritter erwarten dürfen. Diese implizite Vergütung aber wird durch eine Ausübung der Vollmachtstimmrechte erwirtschaftet, die sich nicht notwendig auf die Maximierung des Unternehmenswertes der kontrollierten Gesellschaft richtet und daher in Konflikt mit den Interessen ihrer Aktionäre geraten kann. Diesem Marktversagen ist durch eine Regulierung zu begegnen, welche Bedingungen der Möglichkeit eines qualitätsfördernden Wettbewerbs von Stimmrechtsvertretern schafft:: Die Mindestvoraussetzungen eines solchen Marktes sind die Zulassung nur professioneller Anbieter, eine Vergütung der Stimmrechtsvertreter durch die betroffenen Gesellschaften selbst, die Auswahl der Stimmrechtsvertreter durch die Hauptversammlung und endlich die Beschränkung weisungsfreier Stimmrechtsvertretung auf solche Vertreter, die keinerlei weitere Geschäftsbeziehungen mit dem kontrollierten Unternehmen unterhalten.
In den meisten Industrienationen war in den vergangenen Jahrzehnten ein deutliches Wachstum der Kapitalanlagen institutioneller Anleger zu verzeichnen. Das hat zum Ausbau ihrer Positionen vor allem in den großen Kapitalgesellschaften mit handelbaren Anteilen geführt. Besonders ausgeprägt ist diese Entwicklung in den USA. So besteht Übereinstimmung darüber, daß bei den größten 100 amerikanischen Publikumsgesellschaften, d.h. Gesellschaften mit breit gestreutem Aktienkapital, institutionelle Anleger bereits heute mehr als 50 % der Anteile halten . Auch in Deutschland scheint sich eine ähnliche Entwicklung zu vollziehen. Der Anteil institutioneller Anleger an inländischen Aktiengesellschaften hat in den vergangenen Jahren erheblich, und zwar zu Lasten des Anteils der Privataktionäre, zugenommen*. Dazu trägt offensichtlich nicht nur das Wachstum inländischer institutioneller Anleger, sondern auch ein verstärktes Engagement ausländischer institutioneller Anleger in Anteilen inländischer Publikumsgesellschaften bei. Zu den inländischen institutionellen Anlegern zählen Banken, Versicherungen, Investmentfonds und Pensionsfonds. Unter Pensionsfonds sind Einrichtungen zu verstehen, die Kapital zum Zweck der Altersvorsorge ansammeln und verwalten. Dazu gehören in Deutschland etwa die berufsständischen Versorgungswerke, die Zusatzversorgungseinrichtungen im öffentlichen Dienst sowie Pensionskassen und Unterstützungskassen im Sinne des Gesetzes zur Verbesserung der betrieblichen Altersversorgung (BetrAVG), Die Zunahme des Anteilsbesitzes institutioneller Anleger wirft neue Fragen hinsichtlich der Unternehmensverfassung der Aktiengesellschaft auf. Dies betrifft vor allem die Präsenz und die Ausübung von Stimmrechten in der Hauptversammlung3. Insbesondere seit Beginn der achtziger Jahre hat die Präsenz auf Hauptversammlungen von Gesellschaften mit breitgestreutem Aktienkapital deutlich abgenommen4. Eine mögliche Ursache besteht in der wachsenden Beteiligung vor allem ausländischer institutioneller Anleger. Im Hinblick darauf, aber auch im Hinblick auf die gegenwärtige Diskussion um das Vollmachtstimmrecht der Banken stellt sich die Frage, ob und wie andere institutionelle Anleger zur Ausübung des Stimmrechts angehalten werden können. Eine Bewertung der Rolle institutioneller Anleger im Rahmen der Unternehmensverfassung der großen Publikumsgesellschaften setzt zunächst eine ausreichende rechtstatsächliche Kenntnis von Beteiligungsumfang und Abstimmungsverhalten voraus. Ziel der vorliegenden Untersuchung ist es, für die verschiedenen Typen von institutionellen Anlegern diese Daten zur Ausübung von Stimmrechten in der Hauptversammlung zur Verfügung zu stellen. Zu diesem Zweck wurden für 24 Unternehmen in mehrheitlichem Streubesitz die Hauptversammlungsprotokolle des Jahres 1992 ausgewertet. Um feststellen zu können, inwieweit Stimmrechte trotz bestehenden Anteilsbesitzes nicht ausgeübt werden, wird zuvor die Höhe des Anteilsbesitzes ermittelt. Nach einer Beschreibung der erfaßten Unternehmen unter II. wird daher im folgenden (Ill.) zunächst die Höhe des Anteilsbesitzes aufgeschlüsselt. Hierzu wurde auf öffentlich zugängliche Quellen zurückgegriffen. Insbesondere wurden für den Anteilsbesitz der Investmentfonds die Rechenschaftsberichte der Kapitalanlagegesellschaften nach § 24 a KAGG ausgewertet. IV. untersucht sodann die Stimmrechtsausübung durch Teilnahme oder Vertretung in der Hauptversammlung. Dabei wird auch die StimmrechtsausÜbung zu einzelnen Tagesordnungspunkten behandelt, soweit die Hauptversammlungsprotokolle hierauf Rückschlüsse zulassen. Schließlich werden unter V. die Ergebnisse zusammengefaßt.
Peter Raisch hat sich in seinen wissenschaftlichen Arbeiten immer wieder mit dem Verhältnis von Rechtsordnung und Markt, den Aufgaben des Rechts gegenüber dem Marktgeschehen, befaßt. Die folgenden Bemerkungen beziehen sich auf den Teilbereich des "Marktrechts", der in den letzten Jahren die vielleicht umfassendste Veränderung erfahren hat und für den auch weiterhin eine dynamische Entwicklung zu erwarten steht: das Kapitalmarktrecht. Der Begriff selbst hat sich erst im Verlauf dieser Entwicklung gebildet1, ist aber inzwischen fest etabliert. Die Internationalisierung der Kapitalmärkte bringt Fragen des Anwendungsbereichs, der Kollision und der Harmonisierung verschiedener Kapitalmarktrechte mit sich - Themen, die dem Kenner des Kartellrechts, des "Grundgesetzes" unserer Marktordnung, seit langem wohl vertraut sind. Der Verfasser darf daher auf das Interesse des Jubilars hoffen, wenn er im folgenden auf einige in diesem Bereich auftretende Fragen eingeht.
For the German observer the idea of a Company repurchasing its own shares seems to resemble the picture of a snake eating its own tail. It appears to be highly unnatura1 and one wonders how the tail tan possibly be eatable for the snake. Not in the United States. Although repurchases have once been subject to the most stubbornly fought conflict in US Company law only some modest disclosure requirements and safeguards against overt market manipulation exist today. Large repurchases are an almost everyday event and there is an increasing tendency. The aggregate value of shares repurchased by NYSE listed companies has increased from $ 1 .l billion in 1975 to $ 6.3 billion in 1982 to $ 37.1 billion in 1985*. Few examples may illustrate this practice further: Within three years Ford Motor Corp. repurchased 30 million shares for $ 1.2 billion. In 1985 Phillips Petroleum Corp. was faced with two hostile bids and took several defensive Steps, one of which was to tender for 20 million of its own shares at a total tost of $ 1 billion. And by the end of 1988 Exxon Corp. retired 28 percent of its shares that had once been outstanding at an aggregate tost of $ 14.5 billion. The Situation in Germany is completely different. As it will be shown under German law repurchases are severely restricted and do appreciable amount at all. not take place at an In contrast to German law the United Kingdom does not prohibit repurchases but requires companies to comply with such complex rules that US companies would regard simply as limiting their economic freedom. Therefore UK companies very seldom repurchase their own shares, too. It seeks to ascertain the reasons why companies might want to engage in those activities. Until the late 1980s, asset securitisation was an US-American finance technique. Meanwhile this technique has been used also in some European countries, although to a much lesser extent. While some of them have adopted or developed their legal and regulatory framework, others remain on earlier stages. That may be because of the lack of economic incentives, but also because of remaining regulatory or legal impediments. The following overview deals with the legal and regulatory environment in five selected European countries. It is structured as follows: First, this finance technique will be described in outline to the benefit of the reader who might not be familiar with it. A further part will report the recent development and the underlying economic reasons that drive this development. The main part will then deal with international aspects and give an overview of some legal and regulatory issues in five European legislations. Tax and accounting questions are, however, excluded. Concluding remarks follow.
