Am 30. Juli 2002 hat der US-amerikanische Präsident George Bush den Sarbanes-Oxley Act of 2002 unterzeichnet. Es handelt sich dabei um ein Artikelgesetz, das vor allem Änderungen im Securities and Exchange Act of 1934 ( Exchange Act ) vorsieht. Das Gesetz bezweckt nach der dem Gesetzestext vorangestellten Begründung den Schutz von Anlegern durch genauere und verlässlichere wertpapierrechtliche Publizitätspflichten. Der Gesetzgeber möchte sicherstellen, dass Unternehmen richtige und verlässliche Angaben machen, wenn sie periodisch bei der USamerikanischen Wertpapieraufsichtsbehörde SEC (Securities and Exchange Commission) einzureichende Berichte oder Ad-hoc Mitteilungen veröffentlichen.
Dieser Aufsatz befaßt sich mit den Auswirkungen, die die Einführung des Eure auf sich im Umlauf befindliche DM-Schuldverschreibungen, die nicht dem deutschen Recht unterliegen, haben wird.
Ich möchte diese Gelegenheit nutzen, um die amerikanische Sicht auf einen wohl immer bedeutenderen Bestandteil der deutschen Corporate Governance-Landschaft, das feindliche Übernahmeangebot, darzustellen. Ob Übernahmeangebote von einem ausländischen Bieter abgegeben werden (man denke nur an das Gebot von Vodafone an die Aktionäre von Mannesmann oder an das Gebot von Barilla für Kamps), oder ob es von einem einheimischen Bieter stammt – wer könnte Krupps Gebot für Thyssen vergessen ? –: Feindliche Übernahmegebote betreffen nicht nur die Führungsorgane der einzelnen Zielunternehmen, sondern, wegen ihrer Bedrohung für festgefahrene Geschäftsmuster, auch das ökonomische und politische Umfeld.
Bekanntlich hat der Handel von Anteilen deutscher Gesellschaften an US-amerikanischen Börsen in der Vergangenheit bisher ein Schattendasein geführt. An den beiden US-Börsen mit den meisten Notierungen ausländischer Gesellschaften, der New York Stock Exchange ("NYSE") und der American Stock Exchange ("AMEX") waren deutsche Aktiengesellschaften nicht vertreten. Im computergestützten Handelssystem National Association of Securities Dealers Automated Quotations System ("NASDAQ") waren gerade einmal die "ADRs" einer einzigen Gesellschaft zum Handel zugelassen. Daneben wurden Ende 1992 noch im Freiverkehr ("OTC") die "ADRs" von 12 weiteren Gesellschaften gehandelt. Die Notierung der Daimler Benz AG an der NYSE seit dem 5. Oktober 1993 sowie die bislang eher verhaltene Reaktion hierauf geben Anlaß, sich mit den Voraussetzungen und daraus erwachsenden Konsequenzen des Ganges an eine US-Börse zu befassen (11. - VI.). Insbesondere sollen aus dem Bezugsrecht der Aktionäre bei zukünftigen Kapitalerhöhungen entstehende Probleme erörtert werden (VII.).
Corporate governance is currently a topic of great worldwide interest to academics, legislators, and practitioners. In addition to several academic articles, it has prompted active involvement of the OECD, the EU, the German Monopolkommission, the Bundestag, and several other institutions. Especially in comparison to the Anglo-American system, German corporate governance is characterized by lesser reliance on capital markets and outside investors, but a stronger reliance on large inside investors and financial institutions to achieve efficiency in the corporate sector. Since data on German corporations have become more easily available in recent years, the discussion has lately become more scientific and started to focus on studying the benefits and costs of the German system. The empirical results presented in this survey focus on the relation between ownership structure and firm performance in Germany. I summarize several empirical studies on this topic and put them into context to the institutional and legal environment in Germany. Due to data restrictions on unlisted firms, most results are based on corporations trading in official markets, representing the first-tier stock market in Germany. These firms have to publish large blockholdings exceeding 25% in their annual report. While this type of ownership data has been accessible for several years, information on voting control has only become available with the 1995 transposition of the European Union’s Transparency Directive into national law (Wertpapierhandelsgesetz, WpHG).
I analyze the most powerful shareholders in Germany to illustrate the concentration of control over listed corporations. Compared to other developed economies, the German stock market is dominated by large shareholders. I show that 77% of the median firm’s voting rights arecontrolled by large blockholders. This corresponds to 47% of the market value of all firms listed in Germany’s official markets. About two thirds of this amount is controlled by banks, industrial firms, holdings, and insurance companies. I show that due to current legislation it is clear for neither group who ultimate exerts control over the shareholding firm itself. For the remaining blockholders, only blocks controlled by voting pools and individuals can be traced back to the highest level of ownership. In the aggregate, both groups control only 5.6% of all reported blocks. The German government controls 8%, and it is not clear who ultimately is responsible for the consequences of decisions.
Regulierung von Hedge Fonds in Deutschland : Bestandsaufnahme, praktische Erkenntnisse und Ausblick

Die alternative Kapitalanlage über Hedge Fonds gewinnt in Deutschland zunehmend an Bedeutung. In der jüngsten Vergangenheit wurde dieses Thema daher auch in der rechtswissenschaftlichen Literatur aufgegriffen, was zu mehr Transparenz geführt hat. Allerdings ist das deutsche Investmentrecht und insbesondere der Spezialbereich "Hedge Fonds" nach wie vor eine Praktikerdomäne. Deshalb soll im Folgenden zunächst eine Bestandaufnahme erfolgen. Darüber hinaus werden aktuelle Entwicklungen beschrieben. Dabei lassen die Verfasser ihre praktischen Erkenntnisse einfließen. Vor diesem Hintergrund wird anschließend die vom Gesetzgeber für Anfang 2004 geplante Hedge Fonds-Regulierung gewürdigt.
We first analyze legal provisions relating to corporate transparency in Germany. We show that despite the new securities trading law (WpHG) of 1995, the practical efficacy of disclosure regulation is very low. On the one hand, the formation of business groups involving less regulated legal forms as intermediate layers can substantially reduce transparency. On the other hand, the implementation of the law is not practical and not very effective. We illustrate these arguments using several examples of WpHG filings. To illustrate the importance of transparency, we show next that German capital markets are dominated by few large firms accounting for most of the market’s capitalization and trading volume. Moreover, the concentration of control is very high. First, 85% of all officially listed AGs have a dominant shareholder (controlling more than 25% of the voting rights). Second, few large blockholders control several deciding voting blocks in listed corporations, while the majority controls only one block.
Während des Untersuchungszeitraums (1980 – 1999 einschließlich) ist sowohl die Zahl der Aktiengesellschaften in Deutschland insgesamt als auch die Zahl der börsennotierten Gesellschaften gestiegen. Dabei verlief der Anstieg nicht gleichförmig. Während beide Zahlen sich in den Jahren 1980 bis 1990 nur unwesentlich veränderten, ist für die Jahre nach 1996 ein geradezu sprunghafter Anstieg der absoluten Zahl von Gesellschaften zu verzeichnen. Die Zunahme börsennotierter Gesellschaften blieb demgegenüber im Verhältnis eher gering. Während die Zahl der Gesellschaften insgesamt sich im Untersuchungszeitraum um das 3,5-fache erhöht hat, hat sich die Gesamtzahl börsennotierter Aktiengesellschaften lediglich verdoppelt.
